Position Overview

We are seeking an experienced and accomplished Independent Director to join our Board and provide independent oversight, strategic guidance, and objective governance. The individual will contribute an independent perspective to key business decisions while upholding the highest standards of corporate governance, transparency, accountability, and ethical conduct .

Key Responsibilities

- Provide independent and objective oversight of the Company's management and business affairs.
- Contribute to the formulation and review of corporate strategy, business plans, and long-term objectives .
- Review and provide guidance on financial performance, risk management, internal controls, and compliance.
- Ensure the interests of shareholders and other stakeholders are appropriately considered.
- Participate actively in Board and Committee meetings and provide constructive challenge to management decisions.
- Monitor governance practices and promote transparency, integrity, and ethical business conduct.
- Review significant business proposals, investments, related-party transactions, and other strategic matters.
- Support the Board in identifying and managing key business, operational, financial, and regulatory risks.
- Contribute to the evaluation of management performance and succession planning.




- Serve on relevant Board Committees as required and contribute actively to their responsibilities.
- Maintain confidentiality of all Board discussions, business information, and strategic matters.

Eligibility & Experience

- Senior professional with significant experience in business leadership, corporate governance, finance, healthcare, medical devices, law, operations, or a related field .
- Strong understanding of corporate governance, strategic decision-making, risk management, and regulatory compliance.
- Demonstrated ability to provide independent judgment and constructive oversight .
- Strong analytical, strategic, communication, and decision-making skills.
- High standards of qualified integrity, ethics, and accountability.
- Must meet the applicable eligibility and independence requirements under the Companies Act, 2013 and other applicable regulations , as relevant to the Company.
