About the Role
We are looking for an experienced Company Secretary to join Essar to strengthen corporate governance, drive standardisation of secretarial practices, and lead digitalisation of compliance processes across all portfolio companies.
This role will work closely with senior leadership, Company Secretaries, and business CEOs to establish a robust, uniform, and future-ready governance framework across the organisation. The position requires a professional with solid exposure to listed company environment, multi-entity structures, and complex regulatory frameworks, along with the ability to bring process discipline, transparency, and technology-enabled compliance across the Group.
Key Responsibilities
A. Portfolio Compliance Leadership
- Establish and strengthen a Group-level corporate governance framework across all entities
- Serve as the designated senior CS interface between portfolio companies, the Group General Counsel, and Board / Promoter leadership providing authoritative guidance on all governance, regulatory, and secretarial matters.
- Ensure alignment with Companies Act, SEBI regulations, Secretarial Standards, and other applicable laws
- Lead board and committee governance across portfolio companies — including agenda planning, meeting management, minutes, statutory resolutions, and post-meeting compliance.
- Advise Group leadership, Operating Partners, and Business CEOs on governance, regulatory risk, and compliance strategy — providing independent, well-reasoned counsel.
B. Governance Framework & Standardisation
- Develop and implement uniform secretarial and governance processes across all group companies
- Standardise board and committee processes, documentation formats, and compliance trackers
- Define common templates for minutes, resolutions, statutory records, and policy documents
- Drive adoption of standardised governance practices across all portfolio companies — building compliance discipline within entity-level secretarial teams.
- Maintain and update the Group's governance and compliance policy library — ensuring currency with evolving regulatory requirements across all applicable jurisdictions.
C. Compliance Monitoring, Review & Risk Management
- Own and manage the Group's compliance monitoring framework — tracking statutory obligations, filing deadlines, and regulatory requirements across all portfolio entities with zero tolerance for material lapses.
- Conduct periodic secretarial reviews and governance audits across portfolio companies — identifying gaps, rating severity, and driving timely remediation.
- Build and maintain a group-wide compliance dashboard — providing real-time visibility to the Group General Counsel and senior leadership on compliance status, open items, and risk exposure.
- Proactively identify and escalate regulatory risks, policy deviations, and governance gaps — recommending corrective action and tracking closure.
- Manage relationships with ROC, MCA, RBI, SEBI (where applicable), and other regulatory authorities — including representations, responses to notices, and liaisoning on significant compliance matters.
- Build the capability and effectiveness of entity-level secretarial teams across the portfolio — mentoring, training, and setting performance standards.
- Oversee all statutory filings, annual compliance calendars, and event-based compliance obligations across portfolio companies — ensuring accuracy and timeliness.
- Track and report on compliance performance against defined standards — escalating material risks and systemic issues to the Group General Counsel with recommended courses of action.
- Act as custodian of governance quality and secretarial discipline across the Group
D. M&A;, Restructuring & Transaction Support
- Drive implementation of digital tools for compliance, governance, and secretarial management
- Introduce systems for compliance tracking, board management, and document control
- Lead governance aspects of new entity incorporations, conversions, and winding-up processes as required by business activities across the portfolio.
- Coordinate with Legal, Finance, and external advisors on transaction-related secretarial workstreams — ensuring governance integrity throughout deal execution and post-closing integration.
- Support the digitalisation of compliance and governance processes across the Group — driving adoption of technology tools for compliance tracking, board management, and document control.
Qualification
- Qualified Company Secretary (FCS / ACS) with a minimum of 10 years of post-qualification experience — with at least 5 years in a senior leadership role carrying direct accountability for compliance and governance outcomes across a multi-entity group.
- Prior experience with listed companies / large corporate groups / consulting firms preferred
- Strong exposure to Companies Act, SEBI regulations, and corporate governance requirements
- Demonstrated ability to lead, manage, and develop secretarial teams — setting quality standards and building accountability within entity-level CS functions across a group structure.
- LLB qualification or strong familiarity with legal frameworks is desirable. Experience in M&A;, restructuring, or corporate transactions from a secretarial standpoint is a strong advantage.
