As we expand across India, Africa, the Middle East, the United States, and other global markets , we are seeking an accomplished Chief Financial Officer (CFO) to lead our global financial strategy, institutional fundraising, investment management, and project financing.
About the Role
Reporting directly to the Managing Director & CEO , the Chief Financial Officer (CFO) will be a key member of Texor's Executive Leadership Team, responsible for leading the Company's financial strategy while overseeing investment evaluation, capital allocation, treasury, project finance, fundraising, investor relations, financial governance, mergers & acquisitions, and cross-border financial operations.
The CFO will serve as the Company's principal financial and investment leader, evaluating strategic opportunities, determining project bankability, and making financial Go/No-Go recommendations for renewable energy and infrastructure projects across multiple international markets. This role requires balancing growth with financial discipline, ensuring compliance with country-specific regulations, optimizing capital deployment, and maximizing long-term shareholder value.
Key Responsibilities
Strategic Finance Leadership
- Develop and execute the Company's long-term financial strategy aligned with business objectives and global expansion plans.
- Lead strategic planning, budgeting, forecasting, financial reporting, and performance management.
- Evaluate organizational performance against annual budgets and long-term business strategies.
- Provide financial insights and recommendations to the Managing Director, CEO, Board of Directors, Audit Committee, and Investment Committee.
- Develop financial dashboards, KPIs, and Management Information Systems (MIS) to support strategic decision-making.
- Partner with the Executive Leadership Team to drive business growth while establishing scalable financial systems, governance frameworks, and best practices.
Investment Strategy & Capital Allocation
- Lead the financial evaluation of renewable energy and infrastructure projects across India, Africa, the Middle East, the United States, and other international markets.
- Conduct investment appraisals through financial modelling, valuation, IRR, NPV, DSCR, LCOE, sensitivity analysis, and risk assessments.
- Evaluate project bankability, commercial viability, funding requirements, investment returns, and strategic alignment.
- Make financial Go/No-Go recommendations on project investments and optimize capital allocation across multiple projects.
- Lead financial due diligence and commercial evaluation for strategic partnerships, joint ventures, mergers, acquisitions, and new market opportunities.
Project Finance & Institutional Fundraising
- Structure and execute project financing for S olar, Wind, Hybrid Renewable Energy, Battery Energy Storage Systems (BESS), EV Charging Infrastructure, Electric Mobility, and Transmission projects.
- Lead equity and debt fundraising from Infrastructure Funds, Private Equity, Sovereign Wealth Funds, Pension Funds, Family Offices, Development Finance Institutions (DFIs), Commercial Banks, Multilateral Agencies, Export Credit Agencies (ECAs), and Strategic Investors.
- Structure SPVs, holding companies, and financing arrangements for domestic and international projects while leading lender negotiations, investor due diligence, transaction execution, and financial close.
- Build long-term relationships with institutional investors, lenders, and strategic financial partners.
- Demonstrate a proven track record of successfully raising institutional equity and debt capital, with the ability to present completed fundraising transactions and successful financial closures.
Treasury & Financial Management
- Lead treasury operations, liquidity management, working capital optimization, cash flow planning, banking relationships, and foreign exchange risk management.
- Manage credit facilities, guarantees, letters of credit, and efficient capital deployment to support domestic and international business growth.
Global Finance & Cross-Border Investments
- Lead financial strategy for international expansion across India, Africa, the Middle East, the United States, and other global markets.
- Structure cross-border investments, international financing, SPVs, joint ventures, acquisitions, and strategic partnerships.
- Ensure compliance with country-specific financial, taxation, foreign investment, exchange control, and corporate governance regulations.
- Assess political, regulatory, sovereign, currency, and market risks while coordinating with international legal, tax, and financial advisors.
Investor Relation & Strategic Partnership
- Represent Texor before institutional investors, banks, private equity firms, infrastructure funds, sovereign wealth funds, DFIs, government agencies, rating agencies, and strategic partners.
- Lead investor presentations, financing negotiations, Board reporting, stakeholder engagement, and long-term institutional relationship management.
Financial Governance, Risk Management & Compliance
- Ensure compliance with financial reporting standards, taxation, statutory regulations, and corporate governance requirements across all operating jurisdictions.
- Build and maintain relationships with domestic and international credit rating agencies.
- Strengthen internal controls, financial governance, accounting policies, audit processes, and enterprise risk management frameworks.
- Monitor financial, regulatory, operational, investment, and compliance risks across domestic and international operations.
- Lead financial due diligence, valuation, transaction structuring, negotiations, and post-investment integration for acquisitions, joint ventures, strategic partnerships,
and investment opportunities supporting the Company's long-term growth.
Candidate Profile
- 20+ years of executive leadership experience in Renewable Energy, Infrastructure, Investment Banking, Project Finance, Corporate Finance, or Independent Power Producer (IPP) businesses.
- Proven experience in a senior finance leadership role ( CFO, Deputy CFO, Finance Director, Head of Project Finance, or equivalent ) with a leading Renewable Energy IPP, Infrastructure Developer)
- Strong expertise across Solar, Wind, Hybrid Renewable Energy, Battery Energy Storage Systems (BESS), EV Charging Infrastructure, Electric Mobility, Green Hydrogen, Transmission & Distribution, and other clean energy infrastructure projects.
- Proven track record in institutional fundraising, project finance, treasury management, financial modelling, valuation, capital allocation, M&A;, and structured finance, with the ability to demonstrate completed fundraising transactions and successful financial closures.
- Extensive international experience in cross-border investments, global project financing, and multi-jurisdiction regulatory compliance, with exposure to markets across India, Africa, the Middle East, the United States, Europe, or Southeast Asia.
- Solid understanding of PPAs, EPC contracts, concession agreements, SPVs, project finance structures, infrastructure financing, and project bankability , with the ability to make strategic Go/No-Go investment decisions.
- Established relationships with institutional investors, sovereign wealth funds, private equity firms, Development Finance Institutions (DFIs), multilateral agencies, export credit agencies (ECAs), commercial banks, and strategic financial partners.
- Exceptional leadership, commercial acumen, stakeholder management, negotiation, communication, and Board-level decision-making skills with the highest standards of integrity and corporate governance.
Educational Qualification
- Chartered Accountant (CA) is mandatory.
- MBA/PGDM in Finance, Strategy, or Business Administration from a globally recognized top-tier business school will be highly preferred.
- CFA,CS,CPA, FRM, or other internationally recognized finance qualifications will be an added advantage.
