Key requirements

We are looking for an Associate to join our Corporate Practice and advise clients operating in the defence sector, manufacturing industries, and technology-driven businesses.

Requirements

- Degree in Law.
- At least 2 years of experience in a law firm advising on corporate law and/or M&A; matters or in in-house legal department of defence producers.
- Experience supporting corporate restructurings, investment projects, or transactional work.
- Robust understanding of corporate governance and business structuring.
- English language proficiency at Upper-Intermediate level or higher.
- Ability to work independently and take ownership of assigned workstreams.
- Strong analytical skills, attention to detail, and excellent legal drafting abilities.

Would Be An Advantage

- Experience advising clients in the defence, manufacturing, technology, or engineering sectors.
- Experience supporting investment transactions and fundraising projects.
- Understanding of the regulatory framework applicable to defence industry businesses.
- Experience working with foreign investors and international corporate structures.

Duties include





- Advising clients on corporate law matters.
- Supporting business incorporations, reorganizations, and corporate restructurings.
- Drafting corporate documents, including constitutional documents, corporate resolutions, shareholders’ agreements, and other internal corporate documentation.
- Providing legal support on investment projects and M&A; transactions both in Ukraine and abroad.
- Conducting legal due diligence.
- Assisting with the structuring of Ukrainian and international corporate groups.
- Preparing legal memoranda, opinions, and other legal advises.
- Advising defence sector companies on corporate and regulatory matters related to their operations.
- Liaising with government authorities, counterparties, and external advisers as part of client projects.
