Y-Point Venture Capital Fund-I is a SEBI-registered Category II Alternative Investment Fund set up by SINE (Society for Innovation and Entrepreneurship) IIT Bombay. The fund aims to invest in deep-tech startups at the pre-seed and seed stages companies built on strong scientific and engineering foundations emerging from Indias leading academic institutions.

We are now building the operational backbone of the fund and are looking for a sharp, ownership-oriented Compliance & Operations Executive to join the core team. This is a high-trust, high-responsibility role at the intersection of regulatory compliance, fund operations, legal coordination, and investor servicing.

The position requires an individual who can ensure adherence to regulatory requirements, maintain productive operational processes, and support the management team in delivering best-in-class governance and investor servicing standards.

Key Responsibilities:

Compliance:

- Interpret and ensure adherence to SEBI AIF Regulations, including investment restrictions, disclosure obligations, and reporting requirements.
- Stay updated on regulatory changes, assess their impact, and implement necessary adjustments to maintain compliance.
- Prepare and file necessary SEBI periodic reports, TCR reports, annual reports, other disclosures, and correspondence.
- Conduct internal compliance reviews and ensure timely rectification of non-compliances, if any.
- Liaise with SEBI, auditors, and legal advisors on all regulatory matters.
- Maintain compliance records, investor KYC documentation, and ensure adherence to anti-money laundering (AML)



guidelines.

Operations:

- Liaise with Fund Accountant, Custodian, RTA, and Brokers for reconciliations, investor allocations, and NAV reporting.
- Oversee fund drawdown, confirmation, and settlement activities ensuring accuracy and timeliness.
- Support the preparation and verification of NAV and performance reports.
- Coordinate with Investment Manager for capital calls, distributions, and investor communication.
- Assist in preparing board materials, compliance reports, and operational dashboards.

Legal & Transaction Support (Optional)

- Draft, review, and manage fund-level legal documents including subscription agreements, side letters, confidentiality agreements, and amendment letters.
- Support the deal team on transaction execution: coordinate term sheet finalisation, SHA/SSA review, and closing documentation with external legal counsel and portfolio companies.
- Maintain a structured legal and compliance tracker covering all portfolio investments, IP assignments, board representation, and information rights.
- Liaise with external lawyers on regulatory approvals (e.g., FEMA, RBI, MCA filings) related to portfolio company transactions.




- Maintain the funds document management system with version control and appropriate access permissions.

Educational Qualifications:

- Bachelors degree in Law, Business Administration or related field.
- Advanced degree or professional certifications such as CA, CS, LLB
- NISM Series III - C certification (Not mandatory)

Key Skills

- 1 to 3 years of post-qualification experience in a VC/PE fund, AIF, NBFC, law firm, or financial services firm.
- Working knowledge of SEBI AIF Regulations, FEMA provisions applicable to PE/VC funds, and MCA/ROC compliance requirements.
- Familiarity with AIF fund structures and operations, including trust deeds, placement memorandums, contribution agreements, custodian coordination, and RTA workflows.
- Strong drafting and review capabilities for legal, compliance, and investment-related documents, with the ability to independently identify and flag key risks.
- Understanding of VC investment documentation and processes, including term sheets, SHA, cap tables, valuation mechanics, SAFE/convertible instruments, founder agreements, and ESOP structures.
- Familiarity with regulatory and compliance platforms such as CKYC, SEBI SI Portal, and related filing systems.
- Proficiency in MS Office (especially Excel and Word), along with comfort in handling documentation, reporting, and workflow management.
- Exposure to cross-border investment structures, including FDI/ODI regulations and downstream investment norms, is a plus.
