Role Overview
A leading full-service law firm is looking to hire a Counsel / Principal Associate – Capital Markets for its Mumbai office. The role involves advising clients on complex capital markets transactions and working closely with partners on high-value mandates across equity and debt capital markets.
The position offers the opportunity to work with leading corporates, financial institutions, and investment banks on domestic and cross-border transactions while contributing to the growth of the capital markets practice.
Role Purpose
• Lead and execute complex capital markets transactions across equity and debt offerings.
• Advise clients on regulatory frameworks, listing requirements, and securities laws.
• Support the growth of the practice through client relationship management and business development.
Key Responsibilities
Transaction Execution
• Lead and manage capital markets transactions including IPOs, follow-on public offerings, rights issues, QIPs, and preferential allotments.
• Advise issuers, promoters, and investment banks on securities offerings and listing processes.
• Draft, review, and negotiate transaction documentation including offer documents, underwriting agreements, and placement agreements.
• Coordinate with regulators, stock exchanges, merchant bankers, and other stakeholders during transactions.
Regulatory Advisory
• Advise clients on applicable securities laws and regulatory frameworks.
• Provide guidance on compliance with listing regulations, disclosure obligations, and corporate governance requirements.
• Support clients on regulatory filings and approvals with relevant authorities.
Client Management and Practice Development
• Build and maintain relationships with corporate clients, financial institutions, and intermediaries.
• Support partners on client development initiatives and new mandates.
• Contribute to knowledge development and thought leadership within the practice.
Team Leadership and Collaboration
• Supervise and mentor junior lawyers and associates.
• Work closely with partners and cross-practice teams on integrated transactions involving M&A;, banking, and regulatory elements.
• Ensure high standards of legal analysis, drafting, and client service.
Qualifications and Experience
• LL.B. from a recognized law school; enrollment with the Bar Council of India.
• 8–12 years of experience in capital markets practice at a leading law firm.
• Robust experience in IPOs, QIPs, rights issues, and other capital markets transactions.
• Demonstrated experience working with issuers, investment banks, and regulatory bodies.
Skills and Competencies
• Strong technical knowledge of securities laws and capital markets regulations.
• Excellent drafting, negotiation, and transaction management skills.
• Strong client relationship and stakeholder management abilities.
• Ability to lead complex transactions and manage multiple mandates simultaneously.
