Role Summary
The Legal Associate/Senior Associate shall support the legal team in providing timely and practical legal advise to facilitate the company's lending, structured finance and capital market transactions while safeguarding its legal and regulatory interests. The role encompasses providing legal advisory support, conducting legal due diligence, drafting, reviewing and negotiating financing and security documentation, coordinating with external counsel, supporting end-to-end transaction execution and ensuring compliance with applicable laws, including RBI regulations, the Companies Act, SEBI regulations, SARFAESI, the Insolvency and Bankruptcy Code (IBC), FEMA and other applicable regulatory frameworks.
Success in this role requires a solid understanding of finance and corporate laws, excellent drafting and analytical skills and the ability to deliver high-quality legal support within agreed timelines.
Key Responsibilities
Draft, review, negotiate and finalise financing and transaction documents, including sanction letters, facility agreements, security documents,



guarantees, escrow agreements, inter-creditor arrangements, assignment documents, debenture documents and other ancillary transaction documentation, and support transaction closing, security creation and perfection.
Conduct and support legal due diligence, review title reports and legal opinions, identify legal and regulatory risks, and assist in the fulfilment of conditions precedent and conditions subsequent for financing transactions.
Monitor developments under RBI regulations, the Companies Act, SEBI regulations, SARFAESI, IBC, FEMA and other applicable laws, regulations and judicial precedents, and proactively disseminate relevant legal and regulatory updates to internal stakeholders.
Develop, standardise and continuously improve legal templates, documentation, SOPs, checklists and approval processes to enhance consistency, reduce turnaround time and improve operational efficiency.
