We are seeking a proactive and detail-oriented Company Secretary with 4–5 years of post-qualification experience to manage secretarial and regulatory compliance assignments for clients, with a strong focus on Non-Banking Financial Companies (NBFCs). The role requires handling end-to-end secretarial compliances, advising clients on regulatory matters, managing a team, and ensuring timely execution of assignments while maintaining high professional standards.
Key Responsibilities
Regulatory & Compliance
- Manage secretarial and regulatory compliances under the Companies Act, 2013 and allied corporate laws.
- Possess a strong understanding of RBI regulations applicable to NBFCs, including ongoing compliance and governance requirements.
- Monitor regulatory developments and advise clients on changes impacting their business.
- Support clients in ensuring compliance with applicable statutory and regulatory requirements.
Secretarial Services
- Handle end-to-end secretarial filings with the Registrar of Companies (ROC), RBI, and other regulatory authorities, as applicable.
- Prepare and review Board Meeting and General Meeting agendas, notices, minutes, resolutions, and statutory registers.
- Draft corporate documents, policies, and governance-related documentation.
- Coordinate with clients for obtaining information, maintaining statutory records, and ensuring timely completion of compliance activities.
- Assist clients in incorporation, restructuring, changes in capital, director-related compliances, and other corporate actions.
Client Management
- Act as a key point of contact for assigned clients on secretarial and compliance matters.
- Provide practical and timely support on routine and complex regulatory issues.
- Ensure timely delivery of assignments while maintaining high levels of client satisfaction.
- Coordinate with internal teams and external professionals wherever required.
Team Management
- Lead and mentor junior team members on secretarial and regulatory assignments.
- Allocate work effectively based on team capacity and project priorities.
- Monitor workflow, timelines, and quality of deliverables.
- Conduct regular training sessions to enhance the technical and professional capabilities of the team.
- Review work completed by team members and provide constructive feedback to ensure accuracy and compliance.
Desired Skills & Competencies
- Strong knowledge of the Companies Act, 2013, Secretarial Standards, and corporate governance practices.
- Good understanding of RBI regulations governing NBFCs and other financial sector regulatory frameworks.
- Experience in handling ROC filings, secretarial audits, annual compliances, and corporate restructuring assignments.
- Excellent drafting, analytical, and problem-solving skills.
- Robust client relationship management and communication skills.
- Proven ability to lead teams, delegate responsibilities, and manage multiple assignments simultaneously.
- High level of professionalism, ownership, and attention to detail.
- Proficiency in MCA V3 portal, MS Office, and compliance management tools.
Preferred Experience
- Experience in a practicing Company Secretary firm, consulting firm, or professional services organization.
- Exposure to handling NBFC clients and financial sector entities.
