Governance Stewardship
Serve as the custodian of corporate governance practices across the organisation.
Strengthen governance frameworks, compliance structures, and policy systems aligned with business growth and IPO preparedness.
Ensure adherence to Companies Act, 2013, SEBI regulations LODR, SDD, IDR , UPSI regulations (as applicable), secretarial standards, and other corporate governance requirements.
Advise leadership on governance implications of strategic, operational, financial, and organisational decisions.
Lead the implementation of the organisation in transitioning toward institutional and listed-company governance standards.
Board & Committee Management
Manage end-to-end Board, Committee, AGM, and EGM processes.
Prepare agendas, notices, Board papers, presentations, resolutions, and minutes.
Ensure timely circulation of governance materials and maintenance of decision records.
Track closure of action items arising from Board and Committee meetings.
Support Directors and management on governance responsibilities, disclosures,



and statutory obligations.
Facilitate effective Board functioning and governance transparency.
Policy & Governance Frameworks
Develop and strengthen governance policies, delegation matrices, compliance trackers, and approval frameworks.
Lead implementation of governance mechanisms aligned with future listing requirements.
Build governance documentation systems and reporting structures to improve organisational control and accountability.
B. Regulatory, Secretarial & Compliance Management
Secretarial Compliance
Ensure end-to-end compliance under the Companies Act, 2013 and allied corporate laws.
Manage all Stock Exchange filings, statutory returns, disclosures, resolutions, and regulatory submissions.
Maintain statutory registers, minutes books, disclosures, records, and secretarial documentation.
Ensure timely filing of annual returns, financial statements, and event-based compliances.
