About the Role

We are looking for a Legal Associate to work on end-to-end transaction documentation for our private credit deals, provide necessary legal support to internal stakeholders involving legacy portfolio assets and other day-to-day matters involving the company. You will run legal diligence on borrowers and underlying real estate assets. This is a high-ownership role in a lean team - you will work directly with the deal team and external counsels and stakeholders, not in a back-office capacity.

What You'll Do

Transaction documentation

- Draft, review and negotiate term sheets and other pre-transaction agreements in consultation with deal teams
- Conduct and coordinate legal due diligence on borrower entities, promoters, and project assets — title review, RERA compliance, encumbrance checks, litigation searches. Support deal structuring and provide appropriate advice for the security package
- Review and negotiate the full secured NCD documentation suite in consultation with external counsels and deal team
- Maintain and improve Strata's precedent templates and standard commercial positions
- Manage execution logistics: coordination with the trustee, issuer teams,



stamping (across MH/KA/TN), notarisation, execution and registrations
- Post execution, track covenant compliance, security cover requirements, and condition-subsequent items across the live portfolio
- Support enforcement and recovery actions when required, working with external counsel across legacy and ongoing deals

Portfolio and contract work
- Review and negotiate commercial contracts across the business (vendor agreements, NDAs, fee letters) as needed
- Review and negotiate real estate related agreements such as JDAs, leasing and project documents

What We're Looking For
- LL.B. from a reputed law school; enrolled with a State Bar Council
- 2–4 years at a law firm (banking & finance, structured finance, real estate, or PE/M&A; practice) or in-house at an NBFC, AIF, or credit fund
- Strong drafting fundamentals — you can clearly articulate deal nuances and draft in a manner that the deal team/counterparty/investors won’t require an executive summary of terms. You should be able to defend the lender-side position you have taken in a negotiation with reason and logic
- Fair knowledge of title due diligence - you can prepare a risk matrix and list out actionable ways to mitigate those risks
- Working knowledge of the Companies Act (private placement provisions), SARFAESI/DRT/IBC enforcement landscape, Transfer of Property Act, stamp duty regimes, and RERA
- Comfort with deal velocity: multiple live transactions, tight closings, and direct accountability- should be able to maintain discipline in record-keeping, tracking deal commercials and documentation

Nice to Have

- Direct experience with real estate documentation and lending/banking and finance transactions.
- Exposure to title diligence for under-construction projects
- Ability to efficiently navigate AI tools, without over-use or unchecked outputs, and optimising AI usage to complement and improve work done
- Experience working with corporate borrowers, debenture trustees, escrow banks
