About Nava Nava is building the next generation of AI infrastructure and cloud platforms. As we scale globally, we're looking for a Legal Counsel who can partner closely with business teams, navigate complex commercial transactions, and help build a robust legal and compliance function across multiple jurisdictions. This role is ideal for someone who enjoys working in a rapid-paced, high-growth environment and has experience supporting cross-border commercial and strategic initiatives.

What You'll Do Commercial Contracts Lead the drafting, review, negotiation, and execution of a wide range of commercial agreements, including:

Customer and vendor agreements

AI/GPU infrastructure contracts

Data Processing Agreements (DPAs)

Co-location and data centre agreements

Utility and power agreements

NDAs, SaaS, procurement, and technology agreements

Develop and maintain contract templates, playbooks, SOPs, and negotiation guidelines to improve efficiency and consistency.

Partner with Finance, Commercial, Product, Procurement, and Leadership teams to ensure contracts appropriately balance business objectives with legal risk.

Corporate & Strategic Transactions Support mergers & acquisitions, fundraising, joint ventures, strategic partnerships, and other corporate transactions.

Coordinate legal due diligence and assist in transaction execution across multiple jurisdictions.

Support corporate governance activities, including:

Board resolutions

Shareholder documentation

Cap table management

Entity governance and statutory filings

Regulatory & Compliance Advise on regulatory and operational matters relating to cloud infrastructure, AI platforms,



data centres, and neo-cloud businesses.

Monitor evolving regulatory frameworks across Singapore and the broader APAC region, providing practical guidance to internal stakeholders.

Collaborate with cross-functional teams to strengthen compliance processes and mitigate legal and operational risks.

What We're Looking For 4+ years of Post Qualification Experience (PQE), preferably with a combination of top-tier law firm and in-house experience.

Strong experience negotiating complex commercial agreements.

Experience supporting cross-border transactions and multi-jurisdictional legal matters.

Exposure to M&A;, fundraising, strategic partnerships, or corporate transactions.

Understanding of corporate governance and secretarial matters.

Experience in cloud computing, AI infrastructure, data centres, technology, or digital infrastructure is strongly preferred.

Familiarity with Singapore and APAC regulatory environments is a plus.

Strong commercial judgment with the ability to provide practical, business-oriented legal advice.

Excellent drafting, negotiation, stakeholder management, and communication skills.
