As we scale globally, we're looking for a Legal Counsel who can partner closely with business teams, navigate complex commercial transactions, and help build a robust legal and compliance function across multiple jurisdictions.

This role is ideal for someone who enjoys working in a rapid-paced, high-growth environment and has experience supporting cross-border commercial and strategic initiatives.

What You'll Do

Commercial Contracts

- Lead the drafting, review, negotiation, and execution of a wide range of commercial agreements, including:
- Customer and vendor agreements
- AI/GPU infrastructure contracts
- Data Processing Agreements (DPAs)
- Co-location and data centre agreements
- Utility and power agreements
- NDAs, SaaS, procurement, and technology agreements

- Develop and maintain contract templates, playbooks, SOPs, and negotiation guidelines to improve efficiency and consistency.
- Partner with Finance, Commercial, Product, Procurement, and Leadership teams to ensure contracts appropriately balance business objectives with legal risk.

Corporate & Strategic Transactions
- Support mergers & acquisitions, fundraising, joint ventures, strategic partnerships, and other corporate transactions.
- Coordinate legal due diligence and assist in transaction execution across multiple jurisdictions.
- Support corporate governance activities, including:
- Board resolutions
- Shareholder documentation
- Cap table management
- Entity governance and statutory filings

Regulatory & Compliance




- Advise on regulatory and operational matters relating to cloud infrastructure, AI platforms, data centres, and neo-cloud businesses.
- Monitor evolving regulatory frameworks across Singapore and the broader APAC region, providing practical guidance to internal stakeholders.
- Collaborate with cross-functional teams to strengthen compliance processes and mitigate legal and operational risks.

What We're Looking For
- 4 years of Post Qualification Experience (PQE), preferably with a combination of top-tier law firm and in-house experience.
- Strong experience negotiating complex commercial agreements.
- Experience supporting cross-border transactions and multi-jurisdictional legal matters.
- Exposure to M&A;, fundraising, strategic partnerships, or corporate transactions.
- Understanding of corporate governance and secretarial matters.
- Experience in cloud computing, AI infrastructure, data centres, technology, or digital infrastructure is strongly preferred.
- Familiarity with Singapore and APAC regulatory environments is a plus.
- Strong commercial judgment with the ability to provide practical, business-oriented legal advice.
- Excellent drafting, negotiation, stakeholder management, and communication skills.
