We are looking for a Legal & Commercial Executive to manage legal documentation, contract drafting, rights documentation and commercial coordination across film distribution, licensing and OTT transactions.

The role will work closely with internal Business, Finance and Content/Production teams, as well as external legal counsel, producers, vendors and OTT platforms, ensuring that agreements, rights, commercial terms and contractual obligations are accurately documented and executed on time.

Key Responsibilities

- Legal & Contract Management

- Draft, review and negotiate agreements relating to film production, acquisition, distribution, licensing and OTT partnerships.
- Prepare and review: Content Licensing Agreements, OTT Distribution Agreements, Assignment & Rights Agreements, Memorandums of Understanding (MOUs), Review contractual terms relating to rights, territory, language, exclusivity, term, revenue share, minimum guarantees, payment obligations and deliverables.
- Coordinate with external legal counsel on agreements, legal notices, disputes and other legal matters as required.
- Maintain a structured database of contracts and monitor execution, expiry, renewals and contractual obligations.
- Assist with documentation relating to copyright, intellectual property, content ownership and exploitation rights.
- Ensure agreements are properly executed and all supporting documentation is maintained.

2. Commercial Coordination
- Coordinate commercial documentation for film and OTT transactions, including invoices, payment schedules, milestone payments and contractual financial obligations.
- Work with the Finance team to track revenue-share arrangements, settlements, recoupment and payment milestones.
- Verify commercial terms against executed agreements and flag discrepancies or missing documentation.
- Track contractual deliverables and financial commitments across projects.
- Maintain accurate commercial records for internal reporting, audits and compliance.




- Possess working knowledge of GST, TDS, invoicing and basic accounting processes.

EDUCATION AND EXPERIENCE REQUIREMENT:

- English Language Proficieny
- Corporate language proficiency
- LL.B. is preferred
- MBA in Finance, Marketing or Business Administration is preferred.
- 2–5 years of relevant experience in legal drafting, contract management, media & entertainment, or a related field.
- Experience with a film production/distribution company, OTT platform, media company or law firm handling entertainment matters will be an advantage.
- Robust understanding of contract drafting, contract review and negotiation.
- Working knowledge of media & entertainment law, copyright, licensing and digital content rights.
- Familiarity with OTT licensing and distribution agreements.
- Good understanding of commercial documentation and basic accounting.
- Strong analytical, communication, negotiation and organizational skills.
- Excellent proficiency in Microsoft Word and Excel.
- Ability to manage multiple projects, agreements and deadlines simultaneously.
- High level of attention to detail, confidentiality and ownership.

What This Role Requires: The ideal candidate should be someone who can understand a contract, identify commercial and legal risks, coordinate with multiple stakeholders, and ensure that agreements and related commercial obligations are closed accurately and on time.

Pay: ₹40,000.00 - ₹60,000.00 per month
