Hiring: Legal – M&A; & Contract Management

Location: Mumbai

Experience : 10+ years

We are looking for an experienced legal professional with expertise in Mergers & Acquisitions (M&A;), Corporate Law, and Commercial Contract Management to support complex business transactions and provide strategic legal advisory.

Key Responsibilities

- Lead and support M&A; transactions, acquisitions, divestments, and corporate restructuring activities.
- Draft, review, negotiate, and finalize transaction documents, including Share Purchase Agreements (SPA), Shareholders' Agreements (SHA), Share Subscription Agreements (SSA), Business Transfer Agreements (BTA), NDAs, LOIs, and Term Sheets.
- Provide legal advice to business and leadership teams on corporate transactions, contractual matters, and legal risks.
- Draft, review, and negotiate a wide range of commercial contracts, including technology agreements, software licensing agreements, qualified service agreements, vendor agreements, marketing and advertising agreements, sponsorship agreements, and other business contracts.
- Coordinate with external law firms, consultants, auditors, and regulatory authorities.




- Support intellectual property matters, including trademark management and brand protection.
- Maintain legal documentation, contract repositories, and transaction records.
- Collaborate with cross-functional teams to ensure timely execution of legal workstreams and compliance requirements.

Requirements
- LL.B. or LL.M. from a recognized institution.
- Solid experience in Corporate Law, M&A;, and Commercial Contract Management.
- Proven expertise in drafting and negotiating complex legal agreements.
- Experience working with reputed law firms or in-house legal teams.
- Knowledge of corporate laws, contract law, and regulatory compliance.
- Exposure to financial services, capital markets, banking, NBFCs, or listed companies will be an advantage.
- Strong communication, stakeholder management, and negotiation skills.
- Ability to manage multiple legal matters independently.
