Exploring the Role

We are looking for an experienced Legal Counsel with strong expertise in international commercial contracts, technology transactions, and litigation. The ideal candidate will have hands-on experience working with US and EU laws and supporting global business teams across commercial negotiations, legal risk management, regulatory matters, and dispute resolution.

The role will work closely with business, sales, procurement, leadership, and external legal counsel to provide practical legal advice and support business growth while effectively managing legal and commercial risks.

How Your Day Will Look Like / Job Responsibility

- Draft, review, negotiate, and vet commercial contracts governed by US, EU, and other international laws.

- Handle MSAs, SaaS Agreements, DaaS, DBaaS, Licensing Agreements, NDAs, DPAs, Vendor Contracts, Customer Contracts, and other commercial agreements.

- Provide legal support for contracts related to Digital Marketing, AdTech, MarTech, Affiliate Marketing, Lead Generation, Media Buying, Influencer Marketing, and Advertising Services.

- Provide legal advice on cross-border commercial transactions, technology services, and regulatory requirements.

- Manage litigation, arbitration, mediation,



and other dispute resolution matters across the US, EU, and other international jurisdictions.

- Identify, assess, and mitigate contractual, legal, regulatory, and commercial risks.

- Support business, sales, procurement, and leadership teams during complex commercial negotiations.

- Coordinate with and manage external counsel on legal notices, claims, litigation, and dispute resolution matters.

- Develop and execute appropriate legal strategies for disputes and commercial matters.

- Provide practical and business-oriented legal guidance to internal stakeholders.

- Ensure contracts and business practices comply with applicable data privacy, cybersecurity, and regulatory requirements.

- Support the organization in managing recurring contractual and legal risks and drive improvements in contracting processes.

Education & Work Experience

- Minimum 8–12 years of post-qualification experience in international commercial contracts and litigation.

- Strong experience working on contracts governed by US and EU laws.

- Proven experience in technology contracting, SaaS, DaaS/DBaaS, licensing, and commercial agreements.

- Experience in Digital Marketing, AdTech, MarTech, Affiliate Marketing, Lead Generation, Media Buying, Influencer Marketing, or Advertising Services contracts.

- Prior experience managing litigation, arbitration, mediation, and dispute resolution across international jurisdictions.

- Relevant law degree with appropriate professional qualification.

Knowledge

- Strong understanding of commercial and technology contracts.

- Good understanding of US and EU legal and regulatory frameworks.

- Strong knowledge of GDPR, ePrivacy, data privacy, cybersecurity, and related compliance requirements.





- In-depth understanding of SaaS, DaaS, DBaaS, licensing, and technology services agreements.

- Understanding of cross-border commercial transactions and associated legal risks.

- Knowledge of litigation, arbitration, mediation, claims, and dispute resolution processes.

- Strong understanding of contractual risk identification, assessment, and mitigation.

Working Hours The role will primarily support EU and US business operations, with working hours from 3:00 PM to 2:00 AM IST.

For this shift, work from home will be provided.

If the role is later transitioned to support India-based business operations, the position will be work from office, with regular office working hours.
