Job Description

As a Head of Legal, you will provide professional legal advice, legal leadership, strategy, and risk management through knowledge and experience, and help develop compliance systems and processes for all operations and all areas of the business in conjunction with functional and business leaders in the countries and with appointed external legal advisors to ensure that all operations in various geographies comply with the law.

Key Deliverables

Provide and set strategic direction and sound, balanced legal advice on a wide range of corporate commercial matters, including accountability for corporate compliance and legal issues and oversight for various legal, regulatory, and government affairs related matters.
Provide guidance and advice on product developments and approval on marketing claims and marketing materials in various geographies.
Review and participate in the negotiation, review, and approval of material contracts, proactively ensure compliance in all areas of laws and contractual agreements, have preventive measures in place,



ensure legality of all significant contracts (in particular regarding third party contractors, distributors, purchasing, employment, compensation, etc.), and advise on employment-related issues such as termination, severance, mutual separation, outsourcing arrangements, and employment templates.
Participate in negotiation and advice, and be involved in the preparation of documentation for mergers, disposals, restructures, strategic alliances, and acquisitions of companies.
Participate, assist, and liaise with corporate functional departments on key technical service fee agreements, skilled consultancy/services agreements, licensing, and assignments, as well as in dealing with third parties in matters of conflict and settlement.
