Responsibilities: : We are seeking an experienced and detail-oriented Chartered

Accountant with hands-on experience in Financial Due

Diligence and Auditing (or) a Merchant Banking company.

The ideal candidate should have robust exposure to capital

market transactions, regulatory compliance, and financial due

diligence, and will play a key role in supporting our advisory

and transaction execution teams.

Key Responsibilities:

Manage end-to-end execution of Merchant Banking

assignments including IPOs, Rights Issues, Buybacks,

Open Offers, Delisting, and Mergers & Acquisitions

Prepare and review offer documents, prospectuses, letters

of offer, and other regulatory filings in compliance with

SEBI regulations

Conduct financial due diligence, valuation analysis, and

drafting of due diligence reports

Liaise with SEBI, Stock Exchanges, RTAs (Registrar &

Transfer Agents), and other regulatory bodies for approvals

and compliance

Ensure adherence to SEBI (ICDR), SEBI (SAST), SEBI

(Merchant Bankers) Regulations, and Companies Act

provisions

Coordinate with legal counsels, auditors, printers, and

other intermediaries during transaction execution





Assist in structuring and financial modeling for client

transactions

Support senior management in client presentations, pitch

books, and proposal preparation

Ensure timely and accurate compliance reporting and

documentation

Stay updated with amendments in SEBI regulations,

Companies Act, and other applicable laws

Skills : Strong working knowledge of SEBI regulations (ICDR,

SAST, Merchant Bankers Regulations, LODR)

Experience in drafting offer documents, due diligence

certificates, and regulatory filings

Sound understanding of Companies Act, 2013 and related

compliance requirements

Excellent financial modeling, valuation, and analytical

skills

Strong command over MS Excel, PowerPoint, and

financial databases

Excellent written and verbal communication skills for

client and regulatory interactions

High attention to detail with the ability to manage multiple

transactions simultaneously

Ability to work under tight deadlines in a fast-paced

environment

Preferred Attributes

Prior experience working directly with SEBI-registered

Merchant Bankers

Exposure to capital market transactions such as IPO, FPO,

QIP, Buyback, or Open Offer

Strong professional network within regulatory bodies,

exchanges, and intermediaries

Proactive, self-driven, and capable of working

independently with minimal supervision
