Role Summary
As a Corporate Legal Counsel, you will play a key role in managing the company's corporate legal and commercial matters. As a B2B Enterprise Software company serving customers in highly regulated industries, this role is critical to ensuring our contracts, intellectual property, and compliance practices meet the highest legal and regulatory standards. You will work closely with cross-functional teams to draft and negotiate contracts, ensure intellectual property protection in commercial agreements, support data security and regulatory compliance, mitigate legal risks, and provide practical legal guidance that enables business objectives while safeguarding the company's interests.

Key Responsibilities
Draft, review, negotiate, and manage commercial agreements, including Customer Agreements, Master Service Agreements, Subscription Agreements, SOWs, NDAs, Employment Agreements, Vendor Agreements, and Partnership Agreements.
Provide legal advice on contract interpretation, commercial terms, risk assessment of indemnity, limitation of liability, and dispute resolution.




Ensure compliance with applicable corporate, commercial, labor, and technology-related laws and regulations.
Support corporate governance activities, including maintaining statutory records, regulatory filings, and other legal documentation.
Advise intellectual property matters, including software licensing, copyright, trademarks, and protection of proprietary information.
Develop, review, and maintain legal templates, policies, and standard contractual documentation.
Conduct legal due diligence for strategic partnerships, vendors, and other business transactions.
Coordinate with external legal counsel on legal notices, litigation, and regulatory matters, as required.
Monitor changes in applicable laws and regulations and recommend actions to ensure ongoing compliance.
Partner with Sales, HR, Finance, Product, and Leadership teams to provide practical legal guidance and mitigate business risk
