Job DescriptionPosition Overview:
NWe are seeking an experienced and proactive Company Secretary (CS) to oversee and manage all compliance-related activities for our group companies. The ideal candidate will be adept at navigating complex regulatory environments and ensuring adherence to legal and corporate governance standards.
NKey Responsibilities:

- Prepare agendas and coordinate Board Meetings, Annual General Meetings (AGMs), and Committee Meetings. N
- Draft and maintain accurate Minutes of Board Meetings, AGMs, and Committee Meetings for group companies. N
- Ensure compliance with the applicable provisions of the Companies Act, 2013, and other relevant corporate laws. N
- Prepare Directors' Reports, AGM Notices, and other statutory documents. N
- File Annual Returns, Financial Statements, and other statutory e-forms with the Ministry of Corporate Affairs (MCA) within prescribed timelines. N
- Handle filing of all other applicable MCA forms and ensure timely statutory compliance. N
- Prepare Due Diligence Reports as required by banks and financial institutions for companies with secured borrowings. N
- Coordinate with Secretarial Auditors for conducting Secretarial Audits, wherever applicable. N
- Liaise with Statutory Auditors for the finalization of annual financial statements. N
- Maintain statutory registers, records, and corporate documentation. N
- Monitor compliance calendars and support the implementation of corporate governance best practices. N
nQualifications:

- n
- Qualified CompanySecretary (CS) with membership of the Institute of Company Secretaries of India (ICSI). N
- Minimum 4-5 years of experience in a similar role, preferably within the real estate sector. N
- Sound knowledge of the Companies Act, 2013, MCA filings, and corporate governance practices. N
