Role Description
This is a full-time, on-site Company Secretary role based in Gurugram. The Company Secretary will oversee statutory compliance, corporate governance, and board support activities for Stemz Healthcare and its group entities. Day-to-day responsibilities include organizing board and committee meetings, preparing agendas and minutes, maintaining statutory registers and records, and ensuring timely filings with regulatory authorities. The role will involve drafting and reviewing corporate documents, monitoring changes in company law and healthcare regulations, and advising leadership on compliance and governance best practices. The Company Secretary will also coordinate with internal departments, external legal advisors, auditors, and regulators to support transactions, audits, and corporate actions, while contributing to process improvements and risk management initiatives.

Qualifications
- Strong knowledge of corporate law, company secretarial practices,



and applicable healthcare industry regulations; experience interpreting and applying Companies Act and related statutes.
- Proficiency in organizing board and shareholder meetings, preparing agendas, drafting minutes, and maintaining statutory registers and records.
- Experience in regulatory filings and compliance management, including liaison with ROC, other statutory authorities, and external legal or audit partners.
- Ability to draft, review, and manage corporate documentation such as resolutions, policies, contracts, and governance frameworks.
- Excellent written and verbal communication skills, with solid attention to detail, documentation accuracy, and confidentiality.
- Sound analytical, problem-solving, and stakeholder management skills, with the ability to work independently and collaboratively in a fast-paced environment.
