The Client is seeking a seasoned legal professional to lead and manage corporate and company law matters, with a strong focus on transaction structuring, regulatory compliance, and documentation. The role will play a critical part in supporting business growth initiatives including investments, joint ventures, and capital market activities

We would prefer someone who is working has has decent work exp from TOP 10 Corporate LAW Firm.

Key Responsibilities

1. Corporate & Company Law Advisory
- Provide end-to-end legal support on company law and corporate governance matters
- Ensure compliance with applicable laws, regulations, and internal policies
- Advise senior management on legal risks and mitigation strategies

2. Transaction Structuring & Documentation
- Draft, review, and negotiate complex agreements including:
- Shareholders Agreements (SHA)
- Share Subscription Agreements (SSA)
- Joint Venture (JV) Agreements
- Investment and commercial contracts
- Support fundraising, M&A;, and strategic partnerships from a legal standpoint

3. Capital Markets & IPO Readiness




- Assist in preparation and review of IPO-related documentation
- Coordinate with external counsel, bankers, and regulatory authorities
- Ensure legal readiness for public listing and compliance with capital market regulations

4. Regulatory & Compliance
- Manage filings and compliance under Companies Act and other applicable laws
- Liaise with regulatory authorities and ensure timely submissions
- Monitor legal and regulatory developments impacting the business

5. Stakeholder Management
- Work closely with internal teams (finance, strategy, operations) to provide legal guidance
- Manage relationships with external law firms and advisors
