Job Summary

We are seeking a Qualified Company Secretary (ICSI Member) to join the Board of a Private Limited Company. and Work for Group of Company. The ideal candidate will ensure statutory compliance, corporate governance, board advisory, and act as a key liaison between the company, directors, regulators, and stakeholders.

Key Responsibilities
- Ensure compliance with Companies Act, 2013, Secretarial Standards & applicable laws
- Draft, maintain & update Board Resolutions, Minutes, AGM/EGM documents
- Convene and manage Board Meetings, Committees & Shareholder Meetings
- Handle ROC filings, MCA compliances, annual returns & event-based filings
- Maintain statutory registers, records, share certificates & filings
- Advise the Board on corporate governance, legal & regulatory matters
- Manage shareholding structure, transfers, allotments & ESOPs (if applicable)
- Coordinate with Auditors, Legal Advisors,



Banks & Regulators
- Oversee FEMA, RBI, SEBI (if applicable) compliance
- Support due diligence, restructuring, mergers, funding & investor relations
- Monitor changes in corporate laws and ensure timely implementation

Required Qualifications
- Qualified Company Secretary (ICSI Member – Mandatory)
- LLB – *Preferred*
- Robust knowledge of Companies Act, SEBI, FEMA, RBI norms

Experience & Skills
- 2+ years experience as Company Secretary in Pvt Ltd / Group Companies
- Excellent drafting & documentation skills
- Strong understanding of corporate laws & compliance frameworks
- Proficiency in MCA Portal, MS Office & Compliance Tools
- High integrity, confidentiality & professional ethics
- Strong communication & board-level interaction skills
