Role Overview

The Corporate Lawyer will be responsible for managing thecompanys corporate, commercial, and contractual legal matters, ensuringcompliance with applicable laws while enabling business growth. This role actsas a strategic legal partner to leadership and cross-functional teams,balancing risk management with business practicality.

Key Responsibilities

1. Corporate & Commercial Contracts
2. Draft, review, negotiate, and manage commercial contracts, including:
3. Client agreements
4. Vendor & supplier contracts
5. Service agreements
6. NDAs, MOUs, and SLAs
7. Ensure contracts are commercially sound, legally compliant, and alignedwith business objectives.
8. Maintain and manage the contract lifecycle, including renewals,amendments, and closures.
9. Real Estate & Leasing (if applicable)
10. Draft and review lease agreements, leave & license agreements,amendments, and addendums.
11. Support legal due diligence for current properties, acquisitions, and expansions.
12. Liaise with external counsel on property-related registrations anddocumentation.

Corporate Governance & Compliance
14. Ensure compliance with Companies Act, corporate governance norms, andstatutory filings.
15. Support board processes including resolutions, minutes, and shareholderdocumentation.
16. Track and manage statutory obligations, filings, and compliance calendars.
17. Risk Management & Advisory
18. Identify legal risks and provide practical, business-friendly legal advice.
19. Support leadership in decision-making by evaluating legal implications ofnew initiatives.
20. Develop and enforce internal legal policies and standard operatingprocedures.
21. Litigation & Dispute Management
22. Manage disputes, notices, and legal claims.
23. Coordinate with external counsels on litigation, arbitration, and regulatorymatters.
24. Track case status, documentation, and legal spend.
