We are looking for a agile Company Secretary to strengthen our corporate governance framework and ensure statutory compliance across the organization.

Key ResponsibilitiesSecretarial & Corporate Compliance
- Ensure compliance with the Companies Act, 2013, Secretarial Standards (SS-1 & SS-2), and applicable corporate laws.
- Manage all MCA/ROC filings including AOC-4, MGT-7, DIR, PAS, SH and other statutory forms.
- Maintain statutory registers, minutes books, and corporate records.




- Prepare and file annual returns and other statutory documents within prescribed timelines.
- Develop and monitor the company's statutory compliance calendar.

Board & Shareholder Management
- Organize Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).
- Prepare Board agendas, notices, explanatory statements, and meeting papers.
- Draft Board resolutions, shareholder resolutions, and minutes.
- Track implementation of Board decisions and maintain action trackers.

Corporate Governance
- Advise the Board of Directors and senior management on governance matters and legal obligations.
- Ensure adherence to corporate governance best practices.
- Maintain Director disclosures, DIN records, DIR-3 KYC, and related statutory documentation.

Legal & Regulatory Compliance
- Coordinate with external legal counsel on contracts, litigation, and legal documentation.
