Position Overview:
We are seeking a highly skilled and experienced Company Secretary with a minimum of 7 to 10 years experience in an equity-listed company to join our team. The Company Secretary will play a pivotal role in ensuring compliance with corporate governance and statutory regulations while supporting the Head - Company Secretary in effective decision-making. The Candidate should have very valuable knowledge of SEBI Regulations, Companies Act as well as capital raising formalities. Further, Candidate should have excellent drafting skills.
Key Responsibilities:
Ensure compliance with all statutory and regulatory requirements governing the Company.
Organize and prepare agendas for Board meetings, ensuring all relevant materials are provided.
Have an oversight on agenda notes/presentation submitted by other departments before dissemination of the same to Board.
Maintain accurate records of minutes from Board and Committee meetings.
Oversee the preparation and filing of all corporate documents, including annual reports and disclosures.
Advise the Board on corporate governance practices, ensuring adherence to the company's policies and best practices.
Manage shareholder communications and coordinate the annual general meetings (AGMs).
Liaise with regulatory authorities and ensure timely submission of compliance reports.
ESOP Management and implementation of prevention of Insider Trading Code.
Support company policy implementation and ensure policies are adhered to by all staff.
Provide guidance on corporate structuring, shareholder rights, and other corporate legal matters.
Qualifications:
Qualified Company Secretary from ICSI.
Minimum of 7 - 10 years
