Position Summary

The Senior Manager Legal will be responsible for managing the legal, contractual, regulatory, compliance, governance, and liaison functions of IITMRP. The role will provide strategic legal support to management, ensure statutory compliance, oversee contracts and infrastructure-related legal matters, and coordinate with government authorities and key stakeholders.

Key Responsibilities

Legal Advisory & Corporate Governance
- Serve as the principal legal advisor to the Management, Board Committees, and functional teams.
- Provide legal opinions and strategic guidance on business, operational, infrastructure, and governance matters.
- Support Board Meetings, Audit Committee Meetings, AGM, statutory filings, and corporate governance requirements.
- Coordinate with auditors, regulatory authorities, and external legal counsels.
- Ensure compliance with Companies Act provisions, ROC filings, governance requirements,



and secretarial practices.

Legal & Contract Management
- Draft, review, negotiate, and manage agreements including client contracts, vendor agreements, lease and license agreements, service contracts, MoUs, NDAs, consultancy agreements, and infrastructure/project-related contracts.
- Support tendering processes and contract negotiations.
- Develop and maintain standard contract templates and a centralized contract repository.
- Ensure timely renewals, amendments, escalations, NOCs, and contract closures.

Vendor & Client Governance
- Oversee onboarding of clients and service providers and manage agreement lifecycle activities.
- Review Service Level Agreements (SLAs) and ensure inclusion of appropriate penalty, indemnity, and performance clauses.
- Monitor vendor compliance and coordinate corrective actions for contractual deviations.

Regulatory Compliance & Liaison
