Role Overview
The role will involve regulatory compliance, surveillance, audits, risk monitoring, regulatory reporting, policy implementation, compliance reviews and coordination with SEBI, RBI, NSE, BSE and other regulatory authorities.
Key Responsibilities
- 1. Regulatory Compliance – Stock Broking
- Ensure compliance with applicable SEBI regulations, circulars, guidelines and master circulars.
- Monitor compliance requirements relating to:
- Equity & Derivatives
- Client onboarding/KYC
- Trading & settlement
- Client funds and securities
- Margin requirements
- Pledge/re-pledge of securities
- Power of Attorney / DDPI
- Investor grievance redressal
- Risk management
- AML/KYC
- Insider Trading and PIT requirements
- Code of Conduct
- Monitor compliance with NSE, BSE, MCX and other applicable exchange regulations.
- Review and ensure timely submission of regulatory returns and reports.
- Monitor regulatory circulars and assess their impact on business operations.
- 2. NBFC Compliance
- Ensure compliance with applicable RBI Act, directions, circulars and regulatory guidelines applicable to the NBFC.
- Monitor requirements relating to:
- KYC/AML
- Fair Practices Code
- Customer protection
- Credit and lending operations
- Interest and charges
- Recovery practices
- Outsourcing of activities
- Digital lending, where applicable
- Asset classification and provisioning
- Regulatory reporting
- Coordinate with Finance, Credit, Operations and Risk teams for regulatory compliance.
- 3. Compliance Monitoring & Surveillance
- Conduct periodic compliance reviews of business functions.
- Identify compliance gaps and recommend corrective actions.
- Monitor transactions and activities for unusual or potentially non-compliant practices.
- Review surveillance alerts and coordinate with relevant departments for investigation and closure.
- Maintain appropriate records of compliance observations and corrective actions.
- 4. AML / KYC / PMLA
- Ensure implementation of applicable PMLA, KYC and AML requirements.
- Review customer due diligence and enhanced due diligence processes.
- Monitor suspicious transactions and coordinate with the relevant teams for escalation/reporting.
- Ensure maintenance and periodic review of KYC records.
- Assist in regulatory inspections and AML-related reviews.
- 5. Internal & External Audits
- Coordinate SEBI, RBI, Exchange, Depository and Internal/Concurrent Audits.
- Respond to audit observations and regulatory queries.
- Track audit observations until closure.
- Prepare management responses and corrective action plans.
- Ensure timely submission of required documents to auditors and regulators.
- 6. Regulatory Reporting
- Ensure timely and accurate submission of:
- SEBI returns
- RBI returns
- Exchange submissions
- Depository-related reports
- FIU-related reports, where applicable
- Other statutory/regulatory returns
- Maintain a compliance calendar and ensure there are no missed deadlines.
- 7. Policies & SOPs
Required Skills & Qualifications
- Essential: Graduate/Post Graduate in Commerce, Finance, Law, Banking or related field.
- Preferred: LLB / CA / CS / MBA Finance
- Relevant NISM certifications.
- AML/KYC certification will be an added advantage.
