Job DescriptionAbout the job NJob Overview: NWe are looking for an experienced Manager – Company Secretary with 5–9 years of post-qualification experience to independently manage end-to-end secretarial, corporate governance, regulatory, and compliance functions for a group company. The role will involve FEMA/RBI compliance, M&A;, due diligence, corporate restructuring, and advisory to senior management. NKey Responsibilities: N
- Manage end-to-end Company Secretarial and Companies Act, 2013 compliances. N
- Handle Board, Committeeand General Meetings, including notices, agendas, resolutions and minutes. N
- Manage MCA/ROC filings,statutory registers and corporate records. N
- Handle FEMA/RBI compliances including FDI, ODI, ECB, FLA and FIRMS/SMF filings. N
- Support and lead M&A;, corporate restructuring, due diligence and strategic transactions. N
- Review and draft Shareholders' Agreements, Share Subscription Agreements, JV Agreements, Board Resolutions and other corporate documents. N
- Coordinate with RBI, MCA, ROC, SEBI, auditors,



legal advisors and external consultants. N
- Advise senior management and the Board on corporate governance, regulatory and compliance matters. N
- Monitor regulatory changes and ensure timely implementation of compliance requirements. N
- Manage and guide secretarial/compliance team members, wherever applicable. NRequired Qualifications: N
- Qualified Company Secretary (ACS/FCS) from ICSI. N
- 5–9 years of post-qualification experience. N
- Strong knowledge of Companies Act, MCA/ROC and Corporate Governance. N
- Hands-on experience in FEMA, RBI, FDI, ODI and ECB compliances. N
- Experience in M&A;, due diligence and corporate restructuring. N
- Robust drafting and reviewing skills for SHA, SSA, JV and other corporate agreements. N
- Exposure to SEBI, groupcompanies, subsidiaries, JVs or SPVs will be an added advantage. N
- Strong communication, stakeholder management, analytical and leadership skills.
