In this role as a Senior Manager in Corporate Finance at ENGIE India, you will play a crucial part in structuring, negotiating, and securing value-accretive M&A; transactions and strategic partnerships. Your responsibilities will include leading financial structuring, defining equity structures, and developing negotiation positions on key financial and shareholder terms. You will also be tasked with ensuring alignment with ENGIE Group transaction standards and contributing to investment committee materials and Board documentation.Key Responsibilities:- Lead the financial structuring of M&A; and partnership transactions- Define equity structures, valuation approaches, and governance frameworks- Develop negotiation positions on key financial and shareholder terms- Ensure alignment with ENGIE Group transaction standards- Contribute to investment committee materials and Board documentationYou will also be responsible for challenging commercial and technical assumptions, identifying value drivers and downside risks, and structuring shareholder protections to ensure disciplined capital allocation and return thresholds. Additionally, you will assess the transactions impact on credit metrics and leverage ratios, analyze the pro-forma financial profile post-transaction, and support rating-related analysis in coordination with Treasury and rating agencies.Furthermore, you will support the Head of Corporate Finance in ensuring continuous compliance with all lender obligations by monitoring financial covenants, coordinating internal responses to information requests, and preparing periodic compliance certificates.
