Role Highlights:
- Focus on the Regulatory Advisory sub-vertical, advising financial sponsors and SEBI-regulated intermediaries, including FPIs, mutual funds, algo trading firms, FVCIs, investment advisers, merchant bankers, and other capital market participants.
- Advise clients on the structuring of their businesses, regulatory compliance, and operational set-ups under applicable SEBI regulations.
- Advise financial intermediaries on India entry strategies, licensing, and fund marketing requirements.
- Provide regulatory and structuring advice to financial intermediaries set up in IFSC, GIFT City.
- Advise domestic and offshore investment funds, asset managers, and sponsors on fund formation, structuring, and ongoing operations.
- Support the entire fund lifecycle, including fund set-up, documentation, closings, downstream investments, exits, and ongoing fund management matters.
- Advise on SEBI regulations applicable to AIFs, PMS, mutual funds, and other asset management products.
- Draft, review, and negotiate fund documentation including PPMs, LPAs, contribution agreements,



side letters, and related investment documentation.
- Work closely with fund managers, investors, and internal teams to deliver commercially practical and regulatory-compliant solutions.
- Opportunity to work on fund set-up mandates across domestic and offshore structures.

Ideal Candidate:
- Lawyer with 4–7 years of PQE (Associate / Senior Associate / Principal Associate, depending on fit).
- Solid hands-on experience in fund formation and asset management, including AIFs and private equity/venture capital funds.
- Candidates from Tier 1 law firms preferred.
- Willingness to work across Mumbai / Delhi / Bengaluru / Ahmedabad (flexibility for Mumbai-based candidates with travel to Ahmedabad where required).
- Educational background: LLB from a reputed law school.
- Commercially driven, detail-oriented, and capable of independently handling matters at the relevant level.
