Responsibilities

Draft, review and negotiate transaction documents such as joint development agreements, EPC contracts, power supply and/or purchase agreements, land lease agreements, joint venture agreements, shareholders agreements, O&M; or FM related agreements, term sheets, heads-of-terms and ancillary agreements related to the foregoing.
Draft, review and negotiate commercial contracts such as co-location services agreements, service level agreements and all related documents.




Lead and/or coordinate transaction closing matters, including due diligence, conditions precedent management, document review, preparation of Board of Directors resolutions and other related tasks.
Handle all day-to-day legal work related to assigned projects.
Supervise and guide junior lawyers.
Attend meetings or conference calls with internal or external clients, counterparties and other stakeholders as required.
Conduct presentations and training for business team members on project development matters such as deal structuring and construction contracts.
Manage external legal counsel when applicable or when local law input is required to support assigned projects.

Experience & Qualifications

Law degree from a reputable university / law school.
10 years of experience as a practicing lawyer, either in a top law firm or the in-house legal department of an international company.
