About the Role: The role involves supporting the Corporate Secretarial team in ensuring robust corporate governance, compliance with listing regulations, statutory obligations and implementation of governance best practices. The candidate will also play a key role in benchmarking governance frameworks, assisting in processes and ensuring adherence to statutory compliances and corporate governance standards.
Job Responsibilities:
1. Governance Excellence support • Support in preparation of governance presentations, board processes, memos for senior management and bestpractice recommendations for Board and Committee functioning. • Monitor regulatory and governance changes/ trends (SEBI, MCA, global governance reports, proxy reports) and engage with key stakeholders explaining their impact on the Group. • Support policy advocacy initiatives of the Group via extensive research; drafting of industry representations; and engaging with Industry associations.
2. Research and process control • Conduct regular research on corporate governance,
ESG trends, board processes, and other secretarial practices. • Act as a functional think tank, thereby effectively supporting various aspects of strategic governance matters; business transactions; re-structuring/ M&As; and fund raisings. • Benchmark Airtels governance and compliance practices with peers to identify improvement opportunities and take structured actions towards improvement actions, as a problem-solver. • Support timely preparation, review, and dissemination of periodic Management Information System (MIS) reports. • Support finalization of current policies and processes including setting up of initial processes by newly incorporated Group Companies.
