βœ… About the Role

Leading Aluminum Engineering Company is seeking an experienced and highly competent Group Head – Legal & Corporate Affairs / Company Secretary to lead the legal, corporate governance, compliance, and secretarial functions across all Group companies. The incumbent will ensure that the organization operates in full compliance with applicable laws, regulations, and corporate governance standards while providing strategic legal support to the CMD, COO, and senior leadership.

βœ… Key Responsibilities

Lead the Legal, Corporate Affairs, and Company Secretarial functions for all their Group companies.

Ensure compliance with the Companies Act, SEBI regulations (where applicable), corporate governance requirements, and all statutory obligations.





Act as the Company Secretary and advise the Board of Directors on legal and governance matters.

Organize and manage Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and maintain statutory records and minutes.

Draft, review, negotiate, and manage commercial contracts, customer agreements, vendor agreements, joint ventures, NDAs, and other legal documents.

Provide legal advice to the CMD, COO, and senior management on business transactions, risk management, and strategic initiatives.

Manage litigation, arbitration, legal notices, disputes, and coordinate with external legal counsel.

Oversee intellectual property matters, including trademarks, patents, copyrights, and confidentiality agreements.

Ensure compliance with labor laws, environmental regulations, industrial laws, and other applicable legislation.

Develop and implement corporate policies, compliance frameworks, and risk management systems.
