Role Overview
The Lead for M&A;, Deal Structuring & Strategic Advisory will serve as a core execution engine for corporate growth, leading strategic transactions, deal structuring, due diligence, and capital allocation strategy. This role shifts focus heavily toward end-to-end M&A; execution-from deal design (equity splits, payment terms, ESOP frameworks) to due diligence, valuation, legal negotiation, and transaction advisory for senior leadership.
Key Responsibilities 1. Deal Structuring & Strategic Transaction Advisory
- End-to-End Deal Mechanics: Lead transaction structuring for global acquisitions, Joint Ventures (JVs), divestitures, and equity partnerships.
- Equity & Payout Architecture: Design deal structures including shareholding percentages, debt-equity mix, earn-outs, milestone-based deferred payments, escrow mechanics, and working capital adjustments.
- Incentive & Equity Compensation Alignment: Structure ESOP frameworks, retention pools, and equity incentive models for key management teams post-acquisition to align long-term value creation.
- Strategic Advisory: Serve as an internal strategic advisor to executive leadership and business unit heads, assessing target fit, corporate synergies, and risk-adjusted return on capital.
2. Comprehensive Due Diligence & Valuation
- Due Diligence Leadership: Lead financial, commercial, legal, operational, tax, and ESG due diligence streams in coordination with internal experts and third-party advisors (investment banks, legal counsel, big four auditors).
- Advanced Financial Modeling:
Construct and audit valuation models (DCF, Precedent Transactions, LBO, Accretion/Dilution, Sum-of-the-Parts) to establish target valuation ranges and sensitivity limits.
- Risk Identification & Mitigation: Uncover operational, financial, and legal liabilities during diligence and convert insights into price adjustments, indemnity clauses, or structural protections.
3. Contract Drafting, Negotiation & Deal Execution
- Definitive Documentation: Lead or co-lead the drafting, review, and negotiation of key transaction agreements, including Term Sheets, Memorandums of Understanding (MOUs), Share Purchase Agreements (SPAs), Shareholders' Agreements (SHAs), and JV Frameworks.
- Commercial Terms Negotiation: Drive negotiations on key deal terms, including representations & warranties, indemnification caps, drag-along/tag-along rights, non-competes, exit mechanisms, and governance rights.
- Closing Operations: Manage anti-trust approvals, regulatory clearances, closing conditions, and fund flow mechanics.
4. Market Intelligence & Target Pipeline Screening
- Strategic Target Screening: Continuously map, screen, and rank acquisition targets and strategic JV partners across the global chemical, manufacturing, and pharma sectors.
- Sector Intelligence: Synthesize macroeconomic movements, competitive consolidation, and technology shifts to identify high-potential target companies and white-space opportunities.
5. Post-Merger Integration (PMI) & Stakeholder Management
- PMI Design & Governance: Establish post-deal governance frameworks, board composition structures for joint ventures, and initial day-1 integration roadmaps to capture projected synergies.
- Leadership Memos: Develop executive board packages, Investment Committee memos, and strategic dossiers to drive rapid, informed transaction decisions.
