We are seeking a seasoned and qualified Company Secretary with a minimum of 3 years of experience to join one of the leading financial services providers. The ideal candidate will play a pivotal role in ensuring statutory compliance, corporate governance, and seamless functioning of board-related matters.
Key Responsibilities
Corporate Governance:
Ensure compliance with corporate laws, SEBI regulations, and RBI guidelines applicable to NBFCs.
Advise the board on governance best practices and regulatory requirements.
Statutory Compliance:
Filing annual returns, reports, and other documents with regulatory authorities (e.g., MCA, SEBI, RBI).
Monitor compliance with Companies Act, 2013, and other relevant laws.
Board Management:
Organize and attend Board meetings, Annual General Meetings (AGMs), and Committee meetings.
Prepare and maintain minutes of meetings and other statutory records.
Stakeholder Communication:
Liaise with regulators, shareholders, and auditors on behalf of the organization.
Handle investor queries and ensure timely disclosure of financial and corporate information.
Legal and Secretarial Advisory:
Provide legal advice on corporate matters, contracts, and agreements.
Oversee drafting, reviewing, and maintaining corporate policies and documents.
Risk Management and Reporting:
Support risk management activities to identify and mitigate legal and compliance risks.
Prepare periodic reports for the management and board on compliance performance.
Qualifications and Experience
Education: Qualified Company Secretary (CS) certified by the Institute of Company Secretaries of India (ICSI).
Experience: Minimum of 3 years of relevant experience, preferably in a listed company or NBFC.
Knowledge: Solid understanding of corporate laws, SEBI regulations, and RBI guidelines.
