through the deal lifecycle.Support post-merger integration from a legal and compliance standpoint.2.Structuring:Advise on and support corporate structuring and re-structuring initiatives, including share swaps, entity setup, cross-border holding structures, and business reorganizations.Work closely with finance and tax teams to ensure structures are legally sound and compliant with applicable jurisdictional requirements.3.Contract Management:Drafting, negotiating, reviewing and end to end management of company contracts with vendors, clients, etc. for APAC, EMEA and UAE business including any other international set-up of the CompanyResponsible for structuring documentation for business transactions involving group companies and advising the business teams on the best structure basis the local laws of the foreign landMaintain and improve contract templates, playbooks, and the contract lifecycle management process and also look for automation and training to the business team thereby leading to lesser involvement of legal in day-to-day activities and making them self-reliant.Track key contractual obligations, renewals,



and risk flags.Takes proper action to close out the contract in accordance with applicable procedures at the conclusion of all activity.4.Regulatory Analysis – International Business:Monitor and analyse regulatory developments impacting upGrad's business in APAC, EMEA, and the US.Assess the legal and compliance impact of new regulations on existing and proposed business operations.Coordinate with local counsel/advisors in relevant jurisdictions to ensure regulatory alignment.Research on foreign laws and preparing drafts based on the research5.Compliance:Serve as the Single Point of Contact (SPOC) for compliance matters across the organization.Design, implement, and monitor compliance frameworks, policies, and processes.Conduct periodic internal audits and compliance reviews; identify gaps and drive remediation.Prepare and submit monthly compliance reports/dashboards for leadership and, where applicable, the Board.Stay updated on evolving regulatory requirements and ensure timely policy updates.What We Are Looking AtLaw graduate with minimum 3+ years of experience (long term internship experience included) in leading law firm and/or in-house legal role, with exposure to M&A;, contracts, and regulatory/compliance work.Good business acumenExcellent Communication SkillsKnowledge on Companies Act, 2013 and FEMAExperience in handling contracts in APAC, MENA and UAE regions and good negotiation skills on the contractual termsSound understanding of corporate law, regulatory frameworks, and compliance practices across multiple jurisdictionsAbility to work independently, manage multiple stakeholders, and handle ambiguity in a fast-growing business environment
