About CIBACIBA is a DST-supported Technology Business Incubator operating under Agnel Charities on the FCRIT campus, Navi Mumbai, with an additional centre in Goa. CIBA is registered as a Section 8 not-for-profit company. Where CIBA holds equity in startups, this arises from Government of India grant instruments (not private investment capital), and CIBA's mandate is to strengthen the startup ecosystem — not to generate returns for any investor or LP.
Any equity so held must be managed with the rigour, transparency, and accountability expected of a public grant-funded institution.
About the RoleCIBA currently holds equity positions in around 30 portfolio startups, acquired through Government of India grant schemes. We are looking for a Portfolio & Compliance Officer, on a part-time basis (3 days a week, from our Vashi office), to build and run the systems that track, monitor, and report on this portfolio — ensuring CIBA meets its governance and compliance obligations as a nominee/equity holder, and that all reporting to government stakeholders is accurate and timely.
This is not an investment or fund-management role in the private-capital sense. There are no return targets, no fundraising responsibilities, and no LP relationships to manage. The focus is governance, compliance, and portfolio hygiene on behalf of a public institution. Beyond the equity portfolio, the role will also extend to managing other government grants and schemes administered by CIBA as these arise.
Key Responsibilities
- Maintain an up-to-date register of CIBA's equity holdings across all portfolio startups — shareholding percentages, instrument type, cap table changes, and corporate actions
- Track statutory and contractual compliance of portfolio companies relevant to CIBA's position (annual filings, board resolutions, shareholder consents, ROC filings where applicable)
- Review shareholders' agreements, board resolutions, and transaction documents where CIBA's consent or acknowledgement is required, flagging risks or deviations for CIBA leadership
- Coordinate CIBA's participation in portfolio company board meetings/AGMs where CIBA holds a nominee or observer position, including documentation and follow-up
- Prepare periodic portfolio MIS and compliance reports for CIBA management, DST, and other government stakeholders
- Liaise with portfolio company founders and their company secretaries/auditors to obtain timely information and documentation
- Maintain a compliance calendar and risk register for the portfolio, escalating overdue items
- Support CIBA's internal and statutory audit processes with portfolio-related documentation
- Assist in drafting or reviewing simple governance documents (NDAs, term sheet acknowledgements, consent letters) under guidance
- Take on additional responsibility for managing other government grants and schemes administered by CIBA, including tracking milestones, disbursements, utilisation certificates, and reporting requirements
Candidate ProfileExperience: 1–4 years, preferably in a startup ecosystem, incubator, compliance, company secretarial, or legal/financial due diligence role. Freshers with a strong academic background in law, finance, or company secretarial studies and a genuine interest in the startup/incubation space are encouraged to apply. Education: Graduate/Postgraduate in Law, Commerce, Finance,
or Company Secretary (CS)/CS-Executive qualified or pursuing. Candidates from a legal or CS background will be preferred given the governance and documentation focus of this role.
Skills required:
- Working knowledge of company law, cap tables, and basic shareholder agreement structures
- Comfort reading and summarising legal/financial documents
- Strong organisational skills — this role depends on someone who can track 30 relationships without things falling through the cracks
- Explicit written communication for reports to government stakeholders
- Proficiency in MS Excel/Google Sheets for portfolio tracking; familiarity with MS Word for documentation

Work Schedule & Location
- 3 days per week, work from office at FCRIT Campus, Vashi, Navi Mumbai. Specific days to be mutually agreed. Some travel to Goa and to portfolio company locations may be required.
