Role Summary We are seeking a highly skilled and strategic Legal Manager with 8 to 10 years of experience to lead our legal and compliance initiatives. The ideal candidate will have a strong background in the retail sector, bringing deep expertise in commercial contracts, regulatory compliance, and corporate litigation. You will act as a trusted advisor to the management team, mitigating legal risks while enabling business growth and ensuring operational compliance across all retail touchpoints.

Key Responsibilities 1.

Contract

Management & Negotiation  Draft, review, and negotiate a wide variety of commercial agreements, including vendor contracts, franchise agreements, commercial leases for retail spaces, IT agreements, and non-disclosure agreements (NDAs).  Create and maintain standard template agreements to streamline business operations.  Advise the procurement and real estate teams on contract interpretation, dispute resolution, and risk mitigation.

- Retail Compliance & Regulatory Affairs  Ensure all retail operations, supply chain practices, and e-commerce platforms comply with applicable central, state, and local laws (e.g., Legal Metrology Act, Consumer Protection Act, Labor Laws, and data privacy regulations).  Monitor changes in the regulatory landscape affecting the retail sector and proactively implement compliance programs and policy updates.

- Corporate Litigation & Dispute Resolution  Manage and oversee all corporate litigation, consumer disputes, and arbitration proceedings involving the company.  Draft and respond to legal notices, show-cause notices, and consumer grievances in a timely manner.  Identify, appoint,



and brief external legal counsel and senior advocates; manage the litigation budget effectively.  Represent the company before various courts, tribunals, and regulatory authorities as required.

- IPR  Manage trademark filings.  Monitor and enforce IP protection strategies.  Handle IP disputes, oppositions, and litigation.

- General Legal Advisory  Provide practical, business-focused legal advice to cross-functional teams (HR, Operations, Marketing, Finance).  Conduct internal audits and legal health checks to identify potential liabilities.  Train internal stakeholders on compliance protocols, code of conduct, and risk management.

Qualifications &

Experience  Education: Bachelor’s Degree in Law (LLB) from a recognized university. A Master’s Degree (LLM) is an added advantage.  Experience: 8 to 10 years of Post-Qualification Experience (PQE), preferably with a mix of law firm training and in-house experience within the retail, FMCG, or consumer goods industry.  Domain Expertise: Proven track record in handling complex commercial contracts, corporate litigation, and retail-specific regulatory frameworks.

Competencies  Strong commercial acumen with the ability to balance legal risks with business objectives.  Excellent drafting, negotiation, and communication skills.  High ethical standards, integrity, and a proactive approach to problem-solving.



 Ability to thrive in a fast-paced retail setting and manage multiple priorities simultaneously.  Strong leadership skills with the ability to manage external partners and internal teams.
