Purpose/Objective

The Deputy General Manager (DGM) – Project Finance & Credit will play a strategic role in driving capital mobilization, financial closures, and credit governance for large-scale renewable energy projects across solar, wind, hybrid, and BESS portfolios.

The role will be responsible for structuring optimal financing solutions, managing lender relationships, and ensuring robust credit risk management aligned with the organization’s growth ambitions.

The incumbent will work closely with domestic and international lenders, multilateral institutions, rating agencies, and internal stakeholders to deliver timely financial closures, optimize cost of capital, and maintain strong covenant and compliance standards across the renewable asset portfolio.

Key Responsibilities of Role

A.

Project Finance - Lead end-to-end project financing activities for renewable energy assets including utility-scale solar, wind, hybrid, RTC, and BESS projects.

- Drive financial closures through optimal debt structuring, term sheet negotiations, syndication support, and documentation management.
- Develop and evaluate financing structures including project finance, structured finance, acquisition finance, and refinancing transactions.
- Prepare and review detailed project financial models including sensitivity analysis, DSCR/LLCR projections, and cash flow waterfalls.
- Coordinate with lenders for appraisal processes, due diligence, lender engineering reviews, and disbursement milestones.
- Support bid-stage financing strategy for new opportunities and capacity expansion initiatives.

B.

Credit & Risk Management - Conduct comprehensive credit assessment of projects, SPVs, and financing structures to ensure bankability and risk optimization.

- Monitor key credit metrics including DSCR, ISCR, leverage ratios, covenant thresholds, and liquidity requirements.
- Manage compliance with financing agreements, escrow mechanisms, security structures, and reserve requirements.
- Interface with rating agencies for project ratings, corporate ratings, and instrument ratings.
- Identify refinancing opportunities and proactively mitigate financing and counterparty risks.
- Support stress testing and scenario analysis for portfolio resilience under varying market and regulatory conditions.

C.

Capital Structuring & Fund Raising - Support diversified fund-raising initiatives including: - Domestic term loans - Consortium and club financing - ECBs (External Commercial Borrowings)



- Green bonds / sustainability-linked financing - Non-fund based facilities (BGs, LC limits) - Structured financing - Evaluate innovative financing instruments aligned with renewable and ESG-focused capital markets.

- Engage with domestic banks, NBFCs, DFIs, multilateral agencies, export credit agencies, and institutional investors.
- Contribute to capital structure optimization initiatives to improve ROE and reduce weighted average cost of capital (WACC).

D.

Stakeholder Management - Build and manage strategic relationships with lenders, investors, rating agencies, legal advisors, consultants, and financial institutions.

- Collaborate cross-functionally with Business Development, Treasury, Legal, Commercial, Taxation, Accounts, and Project Execution teams.
- Support senior management in lender presentations, investment discussions, and financing committee reviews.
- Coordinate with external counsels and transaction advisors for financing documentation and closure processes.

E.

Compliance & Governance - Ensure adherence to RBI, FEMA, ECB, SEBI, Companies Act, and other applicable regulatory frameworks governing infrastructure financing.

- Monitor compliance with financing covenants, reporting obligations, and lender information requirements.
- Support internal and external audits related to financing arrangements and project SPVs.
- Maintain robust governance standards in financing approvals, documentation, and risk reporting.

F.

Process Improvement & Digitization - Drive automation and digitization of financial models, covenant monitoring, DSCR tracking, and MIS reporting frameworks.

- Enhance financing processes through standardized templates, dashboards, and analytical tools.
- Leverage data-driven insights for portfolio analytics, refinancing strategies, and lender performance tracking.
- Promote process efficiencies and institutionalization of best practices across the finance function.

1 Key Deliverables / KPIs - Timely achievement of financial closures for awarded and under-construction projects.

- Optimization of borrowing costs and improvement in overall capital efficiency.

Qualifications and Experience

Educational Qualification - Chartered Accountant (CA), MBA (Finance), CFA, or equivalent qualification from a reputed institution preferred.

- Additional certifications in project finance, infrastructure finance, or risk management will be an advantage.

Experience - 10–15 years of relevant experience in project finance, infrastructure financing, corporate banking, or structured finance.

- Robust exposure to renewable energy financing including solar, wind, hybrid, transmission, or BESS projects preferred.
- Proven experience in handling large-ticket infrastructure financing transactions with banks, NBFCs, DFIs, and multilateral agencies.
- Hands-on experience in financial modelling, debt syndication, credit appraisal, and financing documentation.
- Familiarity with ECB frameworks, green financing instruments, and ESG-linked capital raising preferred.
