About the Role

We're looking for a Head Legal to own and drive the entire legal function at Encompass end to end.

This isn't a role where legal sits at the edge of the business reviewing what's handed over; it's a seat where legal shapes how the business moves. You'll be the single point of accountability for legal risk,

compliance, and governance across a multi-brand, publicly listed group from board-level matters to the fine print on a vendor contract.

What You'll Own

Corporate & Listed Company Compliance

● All statutory and regulatory compliance as a publicly listed entity - SEBI regulations,

Companies Act requirements, stock exchange filings, and board/shareholder governance

● Coordination with company secretary, auditors, and registrars on filings, disclosures, and corporate actions (including share issuances and allotments)

● Board and committee meeting support - resolutions, minutes, statutory registers

Contracts & Commercial Legal

● Drafting, vetting, and negotiating the full spread of commercial agreements - vendor MSAs,

manufacturing and supply agreements, 3PL/logistics contracts, marketing and influencer/celebrity endorsement deals, franchise or retail partnership agreements, and promoter/founder agreements across brands

● Building templates and playbooks so contracting scales without every document starting from zero

Employment Law & HR Legal Interface

● Partnering with HR on appointment letters, separation agreements, POSH compliance,

labour law (ESIC, PF, Contract Labour Act, Shops & Establishments), and dispute resolution

● Advising on sensitive employment matters - terminations, notice period disputes,

non-compete and confidentiality enforcement

Risk, Litigation & Dispute Management

● Managing all litigation, arbitration, and regulatory notices across brands - directly or through external counsel

● Building a risk register and early-warning system so legal exposure is visible before it becomes a crisis

IP & Brand Protection

● Trademark filings, renewals,



and enforcement across all brand entities

● Protecting brand assets, packaging, and creative IP from infringement

Regulatory & Sector-Specific Compliance

● FSSAI and food safety compliance for SmallBatch

● Consumer protection, e-commerce, and D2C-specific regulation (Legal Metrology,

consumer rights, data privacy)

● Regulatory groundwork for the upcoming nutraceutical brand - a space with its own compliance layer

External Counsel & Legal Spend

● Selecting, briefing, and managing external law firms

● Owning the legal budget and making the build-vs-outsource call on a matter-by-matter basis

What We're Looking For

● 10-15 years of experience in corporate/commercial law, with meaningful time in-house at a listed company or high-growth consumer/D2C business

● Direct experience with SEBI compliance, corporate governance, and listed-entity secretarial coordination

● Strong contract drafting and negotiation skills across commercial, employment, and IP domains

● Comfort operating without a large legal team - this role is as hands-on as it is strategic

● Experience across multiple regulatory regimes (labour, FSSAI/food, e-commerce, IP) is a robust plus given our multi-brand structure

● Law degree (LLB/LLM) with active Bar Council enrolment
