About the role

As Finance Executive & Assistant Company Secretary, you will play a key role in supporting the financial operations, statutory compliance, and corporate governance of Vestacy's India R&D; entity. This is a unique opportunity to combine finance, compliance, and company secretarial responsibilities while contributing to a growing global business.

Your responsibilities

Finance Assistant

- Manage day-to-day finance operations including purchase order creation, invoice processing, payments, security deposit management, employee expense claims, statutory benefit payments (PF, NPS, etc.), and payments to third-party service providers.
- Ensure invoices and expenses are accurately recorded in the finance system and that all payments are processed on time and without error through the appropriate finance and banking platforms.
- Administer and monitor the employee expense claim process, ensuring all claims are appropriately approved and compliant with local finance policies.
- Support month-end close activities,



including preparation of P&L; and balance sheet reports, and provide clear analysis and commentary on material variances versus forecast, plan, and budget.
- Prepare intercompany balance confirmations and investigate any discrepancies, while completing balance sheet reconciliations for review by the Financial Controller.
- Maintain the fixed asset register, ensuring assets are accurately recorded, tracked, and accounted for.
- Monitor net working capital and cash flow performance, providing clear variance analysis against forecasts and ensuring compliance with Group Treasury policies.
- Support statutory reporting, audit activities, and compliance requirements for the India R&D; entity

Company Secretarial & Governance

- Manage the company secretarial, statutory compliance, and corporate governance requirements of the India R&D; entity in accordance with the Companies Act, 2013, Secretarial Standards, FEMA/RBI regulations, and other applicable legislation.
- Coordinate Board, Committee, and General Meetings, including preparation of notices, agendas, resolutions, board papers, and meeting minutes.
- Maintain statutory registers, corporate records, and minute books, ensuring all governance documentation is accurate and up to date.
- Ensure timely filing of statutory forms, returns, and regulatory submissions with the Ministry of Corporate Affairs (MCA), Registrar of Companies (ROC), Reserve Bank of India (RBI), and other relevant authorities.
- Support annual and event-driven corporate compliance activities, including financial statement filings, annual returns, director appointments and resignations, share capital changes, registered office changes, and foreign investment reporting.
- Partner with auditors, legal advisers, consultants, and regulatory bodies to support compliance, governance,



and statutory requirements.
- Monitor regulatory developments and provide guidance to internal stakeholders on governance, approval, compliance, and documentation requirements.
- Undertake additional responsibilities and projects as required.

The experience we're looking for

- Qualified Company Secretary and Associate/Member of the Institute of Company Secretaries of India (ICSI).
- 3-6 years' experience in finance, accounting, company secretarial, or governance-related roles.
- Sound understanding of accounting principles, financial controls, statutory compliance, and corporate governance.
- Robust Excel skills with the ability to analyse, reconcile, and report financial data accurately.
- Excellent attention to detail with a methodical and highly organised approach to work.
- Strong reconciliation, problem-solving, and analytical skills.
- Ability to manage multiple priorities, work to strict deadlines, and operate effectively with minimal supervision.
- Experience partnering with stakeholders across different functions and levels of the organisation.
- Proactive, dependable, and self-motivated, with a continuous improvement mindset.
- Eagerness to learn, develop new skills, and identify opportunities to improve and automate existing processes.
- Strong written and verbal communication skills in English and Hindi.
