The chance is with a leading financial services firm specializing in Wealth Management
Role & responsibilities
- Managing secretarial activities such as holding Board and Committee Meetings, preparing agenda and minutes, Board presentation and liasoning with business team, shareholders, directors and regulators.
- Undertaking various corporate restricting activities like Buyback, Bonus shares, ESOP schemes, etc.
- Preparation of Notice of Annual General Meeting and Extraordinary General Meeting, Board Report, Corporate Governance Report, Business Responsibility Report, Report on ESG, etc.
- Ensuring pre & post compliance with respect to issuance of listed Non-Convertible Debentures (NCD) Public issue /Private placement and also ensuring compliance relating to issuance of listed commercial papers, etc.
- Coordination & preparation of BRSR report/ESG
- Well-versed with compliances with RBI under FEMA pertaining to ODI application, APR, FLA filing for investment in off-shore entities
- Handling process for allotment of Shares to employees under various ESOP Schemes & also ensuring completion of all related activities including ROC filing, Demating & listing
- Ensuring compliance with the requirements of Companies Act including monitoring of RPT at Group Level, CSR activities, etc and also ensuring compliance of applicable statutory laws, etc.
- Filing of various reports/disclosures with Stock Exchanges/Ministry of Corporate Affairs on quarterly/half yearly/ yearly basis and on event basis under SEBI Listing Regulations
- Compliance under SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 and SEBI (Prohibition of Insider Trading) Regulations, 2015, SEBI ICDR Regulations, SEBI Debt Regulations, etc.
- Coordinating with Statutory Auditors, Internal Auditor & Secretarial Auditor for closing audit on timely basis.
- Maintenance of all the Statutory Registers required under various applicable laws and to ensure timely updating the same.
- Ensuring real-time updating the website for all Investor Contents and Mandatory requirements as per the applicable laws
- Coordinating with Registrar & Share Transfer Agent for various investor grievances and also coordinating with various business/operations team
- Assisting the Company Secretary to hold the inter and intra team knowledge update meetings to ensure that the respective department is updated with any change in the applicable Laws
Preferred candidate profile
- Experience: 5-9 years of relevant experience, preferably with an equity-listed company in the financial services sector.
- Strong knowledge and hands-on experience in SEBI Listing Regulations, Prohibition of Insider Trading (PIT) Regulations, ICDR Regulations, SAST Regulations, SBEB & SE, and other applicable regulatory frameworks.
- Experience in Environmental, Social & Governance (ESG) initiatives and hands-on exposure to Business Responsibility & Sustainability Reporting (BRSR).
- Good working knowledge of the Companies Act, 2013 and related corporate compliance requirements.
