Position Overview
We are looking for an experienced and strategic Chief Financial Officer (CFO) to lead the organization's overall financial strategy, planning, controllership, fundraising, compliance and financial governance.
The CFO will be a key member of the senior leadership team and will work closely with the Board, MD/CEO, investors, lenders, auditors, regulators and other stakeholders.
The ideal candidate should have strong experience in corporate finance, fundraising, financial planning & analysis, treasury, taxation, statutory compliance, investor relations and business strategy.
Candidates with experience in FMCG / Consumer Goods and/or a listed company environment will be strongly preferred.
Role & responsibilities
1. Financial Strategy & Leadership
- Develop and execute the company's overall financial strategy in alignment with business objectives.
- Provide strategic financial insights and recommendations to the MD/CEO and Board.
- Lead financial planning, budgeting, forecasting and long-term financial planning.
- Drive profitability improvement, cost optimization and working-capital efficiency.
- Evaluate major business decisions from financial, commercial and risk perspectives.
- Develop and monitor key financial and business performance indicators.
1. Corporate Finance & Fundraising
- Lead the company's debt and equity fundraising initiatives.
- Manage relationships with banks, financial institutions, NBFCs, investors and other funding partners.
- Oversee debt syndication, working capital facilities, term loans, refinancing and structured finance.
- Evaluate various funding options and optimize the company's capital structure.
- Lead financial due diligence and negotiations for fundraising and strategic transactions.
- Maintain strong relationships with lenders and financial institutions.
1. Mergers, Acquisitions & Strategic Transactions
- Evaluate and support M&A;, strategic investments, joint ventures and business restructuring opportunities.
- Lead financial due diligence, valuation and transaction structuring.
- Work with legal, tax, business and external advisors on transactions.
- Support negotiations and transaction closure.
- Monitor post-acquisition financial integration and performance.
1. Financial Planning & Analysis
- Lead annual budgeting and business planning processes.
- Develop monthly, quarterly and annual financial forecasts.
- Analyze revenue, margins, profitability, cash flows and business performance.
- Provide actionable insights to improve business performance.
- Establish robust MIS and management reporting systems.
- Develop financial models for strategic business decisions.
1. Treasury & Cash Flow Management
- Oversee cash-flow planning and liquidity management.
- Optimize working capital, receivables, payables and inventory.
- Monitor banking arrangements and fund utilization.
- Ensure adequate liquidity to support business operations and growth.
- Develop strategies for effective utilization of surplus funds.
1. Accounting & Financial Controllership
- Oversee accounting, consolidation, financial reporting and month-end/year-end closure.
- Ensure accuracy and integrity of financial statements.
- Establish solid internal financial controls and processes.
- Monitor financial reporting in accordance with applicable accounting standards.
- Drive automation and improvement of finance processes.
1. Taxation & Regulatory Compliance
- Ensure timely compliance with Income Tax, GST, Companies Act and other applicable financial regulations.
- Oversee direct and indirect taxation matters.
- Coordinate with statutory auditors, internal auditors and tax advisors.
- Identify and mitigate financial and regulatory risks.
1. Listed Company / SEBI Compliance & Investor Relations
For a listed company, the CFO will work closely with the Company Secretary,
Board and Investor Relations team to ensure appropriate financial disclosures and regulatory compliance.
Key responsibilities include
- Coordination for financial disclosures and stock-exchange requirements.
- Support compliance with applicable SEBI / LODR and other regulatory requirements.
- Preparation and review of financial information for investor communication.
- Interaction with institutional investors, analysts and other financial stakeholders.
- Support quarterly and annual results processes.
- Participate in investor and analyst interactions where required
1. Audit & Risk Management
- Lead statutory, internal and other financial audits.
- Present financial performance and audit matters to the Board / Audit Committee.
- Strengthen internal controls and risk-management frameworks.
- Identify financial, operational and compliance risks and develop mitigation plans.
- Ensure timely resolution of audit observations.
1. Team Leadership
- Lead and mentor the Finance & Accounts team.
- Develop a high-performing finance organization.
- Establish clear objectives, KPIs and performance standards.
- Build succession plans and strengthen finance capabilities.
- Promote a culture of accountability, compliance and financial discipline.
Preferred candidate profile
Educational Qualification
- MBA / PGDM in Finance is mandatory.
- CA / Chartered Accountant will be an advantage.
- Additional qualifications such as CFA / CS / CMA will be considered an advantage.
Experience
- 15-20+ years of overall experience in Finance & Accounts / Corporate Finance.
- Proven experience in a CFO / Finance Director / Head Finance / Senior Finance leadership role.
- Strong experience in fundraising, debt syndication, treasury and corporate finance.
- Experience in M&A; / strategic transactions will be preferred.
- Strong exposure to Board-level reporting and stakeholder management.
- Experience in a listed company will be strongly preferred.
- Candidates with FMCG / Consumer Goods industry experience will be preferred.
