We are looking for a high-caliber qualified with an elite pedigreeideally combining Big 4 audit/advisory experience with core corporate secretarial expertise. This hybrid leadership role seamlessly bridges Financial Management and Company Secretarial (CS) functions.

The ideal candidate will own statutory compliances, corporate governance, board management, and strategic financial operations, partnering closely with the promoter group, CFO, and institutional investors.

Key Responsibilities

1. Company Secretary & Corporate Governance Functions
- Board & Shareholder Management: End-to-end management of Board Meetings, Committee Meetings, and General Meetings, including drafting agendas, meticulous minutes, and statutory registers under the Companies Act, 2013.
- Secretarial Compliance & Filings: Ensure timely filing of annual returns, financial statements, and other forms (MGT-7, AOC-4, DIR-12, etc.) with the Registrar of Companies (ROC).
- PE Investment & Capital Restructuring Support: Manage compliances related to private equity funding rounds, preferential allotments,



share transfers, ESOP administration, and alterations to the Memorandum and Articles of Association (MoA/AoA).
- Statutory Registers & Legal Records: Maintain up-to-end statutory registers and manage legal documentation for corporate actions.

2. Finance & Management Accounting Functions
- Financial Reporting & Controlling: Oversee monthly, quarterly, and annual closing of books, variance analysis, and preparation of standalone and consolidated financial statements in compliance with Ind AS.
- Big 4 / Statutory Audit Management: Act as the primary interface for statutory auditors, internal auditors, and tax auditors. Drive timely completion of audits with clean observations.
