Job Profile: Securities/SEBI Lawyer (with Business Development mandate)

Role summary

Advise clients on SEBI regulations and capital market transactions, while independently building and converting a pipeline of corporate, broker-dealer and fund clients.

Legal / regulatory responsibilities

Advisory on SEBI Act, LODR, ICDR, SAST (takeover code), PIT (insider trading), Mutual Fund, AIF, PMS, RA/IA and Intermediaries Regulations

IPO/FPO, rights issue, QIP and preferential allotment work — due diligence,

DRHP/offer document vetting, ROC/stock exchange filings

Representation before SEBI (show-cause notices, adjudication,

settlement/consent applications), SAT appeals, and coordination with senior counsel

Compliance audits, code of conduct drafting, UPSI/structured digital database systems, whistleblower and internal investigation support

Listing compliance support to listed companies and merchant bankers; liaison with SEBI, stock exchanges, depositories, RBI (FEMA overlap)

Business development responsibilities

Originate mandates from listed companies, merchant bankers, brokers, AIF/PMS managers,



fintechs and startups

Build referral networks with CAs, CS professionals, investment bankers and compliance officers

Publish regulatory updates/newsletters, speak at industry forums (ICSI, ICAI, industry chambers), maintain LinkedIn thought-leadership presence

Prepare pitch decks, RFP responses, fee proposals and scope notes; manage conversion and client retention

Track billing targets, cross-sell across practice areas, own key-account relationships

Qualifications

LL.B./LL.M.; Company Secretary or NISM certifications an advantage

3–10 years in a securities/capital markets practice, law firm, merchant bank or

SEBI-registered intermediary

Bar Council enrolment for litigation-facing roles

Key skills

Regulatory drafting, transaction documentation, negotiation, client counselling, commercial acumen, networking, presentation and writing ability.

Pay: ₹50,000.00 - ₹90,000.00 per month
