Company Secretary (CS)

Department: Secretarial

Skills Required: Qualified Company Secretary (CS) with at least 5 years of post-qualification experience. Additional qualifications such as LLB will be an added advantage.

Job Summary
We are seeking a highly skilled and experienced Company Secretary (CS) with a minimum of 5 years of post-qualification experience. The ideal candidate will play a critical role in ensuring compliance with corporate laws, regulations, Ethics Compliance and Governance requirements. This role involves reviewing and performing various secretarial compliances and supporting the legal and regulatory functions of the company.

Key Responsibilities

- Secretarial Compliance & Governance: Ensure adherence to all statutory and regulatory requirements under the Companies Act, 2013, FEMA, and other applicable Corporate laws.
- Board & Committee Meetings: Organize, conduct, and document Board, Committee, and General Meetings, including drafting agendas, minutes, and resolutions.
- Filing & Reporting: Prepare, review, and monitor the filing of various statutory returns, forms, and reports with regulatory authorities such as MCA, RBI, ROC.
- Compliance Review & Monitoring: Act as a Reviewer for various secretarial compliances, ensuring accuracy, timeliness, and adherence to legal requirements.
- Regulatory & Corporate Filings: Oversee and review filings related to annual returns, director disclosures, and other company law requirements.
- Corporate Governance:



Assist in implementing best practices in corporate governance and ensure compliance with internal policies.
- Liaison & Coordination: Communicate with regulatory bodies, stakeholders, and external consultants, Auditors, for compliance-related matters.
- Contract & Legal Documentation: Assist in drafting and reviewing agreements, MOUs, policies, and other corporate legal documents.
- Training & Awareness: Guide and support junior team members and relevant departments on secretarial and regulatory requirements.
- Ethics & Compliance: Develop, implement, and monitor ethics compliance programs within the organization.
- Code of Conduct Implementation: Ensure adherence to the company’s ethical policies, including anti-corruption, anti-bribery, and conflict of interest policies.
- Whistle-blower Mechanism: Oversee and maintain the whistle-blower policy, support in investigation of ethical concerns.
- Regulatory Ethics Compliance: Ensure compliance with ethical standards and reporting requirements mandated by regulatory bodies.
- Ethics Training & Awareness: Conduct training sessions on ethical practices, compliance obligations, and corporate integrity for employees.

Key Skills & Competencies

- Robust knowledge of Companies Act, 2013, SEBI regulations, FEMA, and other applicable corporate laws.
- Excellent drafting, documentation, and analytical skills.
- Ability to manage multiple compliance requirements and deadlines.
- Strong communication and stakeholder management skills.
- Detail-oriented with high accuracy in compliance review and documentation.
- Proficiency in MCA and other regulatory e-filing platforms.
