Role & responsibilities

The Company Secretary will be responsible for ensuring statutory, regulatory, and corporate governance compliance for Grew Energy Pvt. Ltd., particularly in a greenfield manufacturing setup. The role involves close coordination with the Board, senior management, statutory authorities, and external consultants to support smooth incorporation, expansion, and operational compliance.

Key Responsibilities
Corporate & Statutory Compliance
Ensure compliance with the Companies Act, 2013, MCA, SEBI (if applicable), FEMA, and other applicable corporate laws.
Manage ROC filings, annual returns, event-based filings, and statutory registers.
Oversee incorporation, capital structuring, share allotments, transfers, and ESOPs (if applicable).
Ensure compliance related to subsidiaries, joint ventures, and group entities (if any).
Board, Committee & Shareholder Management
Organize and manage Board Meetings, Committee Meetings, and General Meetings (AGM/EGM).
Draft notices, agendas, minutes, resolutions, and action trackers.




Act as key liaison between Board of Directors, shareholders, and management.
Maintain corporate governance best practices.
Greenfield Project & Manufacturing Compliance
Support greenfield project approvals, land acquisition documentation, and statutory registrations.
Coordinate compliance related to industrial licenses, factory registration, and statutory approvals in collaboration with legal, finance, and admin teams.
Assist in contracts, MOUs, and legal documentation related to vendors, EPC partners, and consultants.
Legal & Regulatory Coordination
Coordinate with external legal advisors, auditors, consultants, and regulators.
Review and vet legal agreements, policies, and internal governance documents.
Handle corporate restructuring, mergers, demergers, and funding documentation (if required).
