Role Description

The Director – Corporate Governance is a full-time,
on-site leadership role based in Abroad
. This position is responsible for overseeing corporate governance frameworks, ensuring compliance with legal and regulatory requirements, and advising senior leadership on governance best practices. Day-to-day responsibilities include reviewing and managing contracts, policies, and internal controls; assessing legal risks and corporate obligations; and providing guidance on complex legal issues. The director will also support strategic initiatives, including mergers and acquisitions, structure board and committee processes, prepare governance reports, and coordinate with external legal advisors when required. Collaboration with executive management, operations, and compliance teams is critical to maintain integrity, accountability, and effective decision-making across the organization.

Qualifications
Strong foundation in Law, with the ability to interpret and apply relevant statutes, regulations, and case law.
Proven expertise in Legal Compliance,



including development and monitoring of policies, procedures, and internal controls.
Ability to manage complex Legal Issues, providing transparent, practical guidance to senior stakeholders.
Experience in Contract Management, including drafting, reviewing, and negotiating commercial agreements.
Exposure to Mergers & Acquisitions (M&A;), including due diligence, risk assessment, and transaction support.
Advanced analytical, problem-solving, and decision-making skills with attention to detail and risk management.
Excellent written and verbal communication skills, with the ability to present governance matters clearly to diverse audiences.
Demonstrated leadership experience, including stakeholder management and cross-functional collaboration.
Relevant skilled degree (e.g., LL.B, LL.M, or equivalent) and prior experience in corporate governance or corporate law.
