About the Role:

We are seeking a business-oriented
Legal Counsel
to join our legal team and support our global commercial operations. The ideal candidate will have substantial experience in drafting, reviewing, negotiating, and advising on commercial contracts, particularly for US and international customers in the SaaS, technology, IT services, LegalTech, or related sectors.

This role requires a pragmatic legal professional who can partner closely with business, sales, procurement, and leadership teams to enable commercial growth while effectively managing legal risk.

Key Responsibilities

1. Draft, review, negotiate, and manage a wide range of commercial agreements, including:

· Master Services Agreements (MSAs)

· Statements of Work (SOWs)

· SaaS and Software Subscription Agreements

· Software Licensing Agreements

· Vendor and Procurement Agreements





· Data Processing Agreements (DPAs)

· Non-Disclosure Agreements (NDAs)

· Customer and Partner Agreements

2. Support contract negotiations with customers across the US, UK, Europe, and other international markets.

3. Advise internal stakeholders on legal and commercial risks, contract strategy, and deal structuring.

4. Partner closely with Sales, Customer Success, Procurement, Finance, Product, and Information Security teams throughout the contract lifecycle.

5. Review and negotiate key contractual provisions relating to:

· Intellectual Property ownership and licensing

· Data privacy and data protection

· Confidentiality

· Limitation of liability

· Indemnities

· Warranties

· Information about security requirements

· AI and emerging technology clauses

· Regulatory and compliance obligations

6. Support vendor contracting and procurement activities.

7. Develop and maintain contract template
