Job Purpose

To lead and support the legal functions of the Surety Bond Insurance business by providing legal expertise in drafting, vetting, negotiation, execution, enforcement, and recovery-related documentation. The role will be responsible for legal due diligence, litigation management, regulatory compliance, and advisory support for underwriting and claims functions while safeguarding the company's legal and financial interests.

Key Responsibilities

1. Legal Drafting, Vetting & Negotiation
- Draft, review, vet, and negotiate legal documents related to Surety Bond Insurance business, including:
- Indemnity Agreements
- Counter Indemnity Agreements
- Surety Bonds
- Guarantees and allied contractual documents
- Recovery and enforcement-related documents
- Collaborate with Corporate Legal team to ensure standardized, legally enforceable documentation.
- Develop and maintain legal templates in accordance with business, regulatory, and operational requirements.
- Review and advise on transactional documents pertaining to non-fund-based facilities and financial guarantees.




- Identify legal risks and recommend appropriate mitigants during contract negotiations.

2. Legal Due Diligence & Underwriting Support
- Conduct legal due diligence of contractors, obligors, principals, and corporate entities seeking Surety Bond coverage.
- Review project contracts, tender documents, concession agreements, EPC contracts, and related project documentation.
- Assess contractual obligations, liabilities, recoverability provisions, termination clauses, dispute resolution mechanisms, and security structures.
- Provide legal opinions and advisory support to underwriting teams on potential legal exposures and recovery risks.
- Assist in structuring legally robust indemnity and security arrangements.

3. Enforcement & Recovery Management
- Advise on invocation, enforcement, subrogation, indemnification, and recovery actions arising from issued Surety Bonds.
